Credit Trading and Special Situations Attorney – Vice President, Assistant General Counsel

As a Credit Trading and Special Situations Attorney – Vice President, Assistant General Counsel within our Credit Trading Legal Team, you will support the Commercial & Investment Bank’s Credit Solutions business and other products within North America Credit Trading.  You will partner with the Credit Trading business on structuring bespoke alternative credit solutions and advise on lending and repackaging transactions involving distressed and special situation assets.  Transactions may include debt financings backed by alternative security packages, claims trading and monetization, and other bespoke financing transactions with opportunities to advise on bankruptcy, intercreditor, regulatory and risk matters. You will also support the distressed trading business, advising our analysts and traders throughout the restructuring life cycle, facilitating the execution and settlement of trades, drafting and negotiating risk transfer agreements with trading counterparties, and advising on restructuring support and cooperation agreements, as well as partnering with Credit Trading on structuring its growing financing business.

Job responsibilities

Provide primary legal coverage responsibility for North America Credit Trading’s Credit Solutions business Provide legal coverage for North America Credit Trading business, including providing legal advice on structuring alternative credit solutions, receivable puts, financing structures, lending and intercreditor issues, and bankruptcy claim monetization and trades Advise distressed trading business throughout the restructuring life cycle, such as drafting for transfers of debt and equity, and reviewing plan/restructuring support and cooperation agreements Advise the Credit Trading business on relevant regulatory matters Drafting and negotiating transaction documentation Advising on regulatory, financing, intercreditor and risk matters.

Required qualifications, capabilities, and skills

Minimum 6 years of finance and/or special situations experience at a law firm or financial institution Knowledge of credit markets and/or trading businesses and documentation  Excellent business sense and communication skills; ability to partner with the front office and other functions in finding legal solutions to business goals Proven ability to work independently and proactively, and multitask under pressure Proven ability to draft quickly, precisely and comprehensively Desire to stretch into new or unfamiliar products or asset classes in support of the business, and ability to independently leverage and navigate internal and external resources while doing so  JD or educational equivalent required. Attorney candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment
