JOB DESCRIPTION

Deputy Chief Ethics and Compliance Officer position is a senior-level executive role responsible for assisting in the oversight and management of an organization's compliance with laws, regulatory requirements, policies, and procedures. As a deputy to the Chief Ethics and Compliance Officer, this role entails supporting the development, implementation, and monitoring of effective compliance programs, advising on emerging compliance issues, and ensuring that the organization is proactively addressing compliance risks. The job exists to maintain the integrity of the organization's operations and reputation by ensuring adherence to legal standards and in-house policies. Ultimately, the Deputy Chief Ethics and Compliance Officer is tasked with promoting a culture of compliance and ethical behavior within the organization.

A SNAPSHOT OF YOUR RESPONSIBILITIES

Design and revise the company's Standards of Business Practices and operational compliance policies and procedures to ensure alignment with current laws and regulationsSupervise and coordinate the implementation of compliance programs across various departmentsConduct periodic risk assessments to update the compliance framework as necessaryDevelop and deliver comprehensive compliance training programs for employees at all levels within the organizationRegularly update training materials to reflect changes in laws and regulations. Assess the effectiveness of training programs and make improvements as neededOversee regulatory licensing efforts, including but not limited to state gaming licensing efforts and waiversAct as a contact point for regulatory bodies, managing communications and queriesEnsure that any changes in regulation are effectively communicated and understood within the organizationManage and oversee internal corporate investigations, which may involve interviews, data analysis, and review of documentsDraft and report on remedial measuresHandle the process of identifying, documenting, and managing conflicts of interest within the organization, including the issuance of waivers where appropriate, in line with company policy and regulatory requirementsPeriodically perform analyses into the business operations to identify potential compliance risksEstablish processes to detect non-compliance issues proactively within the companyGenerate comprehensive reports documenting identified risks and their potential impact on the organizationOversee risk-based vendor onboarding process to ensure compliance with company standards and regulatory requirementsEvaluate potential vendors through due diligence checks, including background screenings and reviewsImplement and maintain a tracking system for vendor agreements and compliance documentsEnsure contract management processes are in place, including ensuring appropriate contractual obligations based on contractual riskConsult on the compliance implications of new business lines prior to their launch or acquisitionRecommend modifications to business practices to ensure complianceDevelop systems for monitoring adherence to compliance procedures by employees and third partiesPrepare regular reports for senior management summarizing the state of the organization's compliance postureConduct follow-up on compliance issues that require investigation and document resolutionsManage the response to incidents of non-compliance, including the conduction of investigations and the implementation of corrective actionsEnforce disciplinary measures when compliance policies are breachedAssist and advice compliance due diligence efforts for potential acquisitions to identify and assess regulatory risks and liabilitiesCoordinate with cross-functional teams to review due diligence findings and integrate compliance considerations into the overall acquisition strategyDevelop action plans to resolve any compliance issues uncovered during the due diligence process prior to finalizing acquisitionsAnalyze the outcomes of compliance efforts and feedback to guide the continuous improvement of compliance activitiesRegularly meet with other department leaders to discuss potential improvements in policies and processes

WHAT YOU WILL NEED

Juris Doctor (J.D.) degree from an accredited law schoolAdmission to the Bar in the relevant jurisdiction(s)10+ years of legal experienceExperience as a prosecutor, regulatory attorney, or in a similar legal compliance roleProven track record of managing compliance within a complex organizationSound understanding of applicable compliance laws and regulations related to international media and entertainment industryFamiliarity with corporate governance best practicesKnowledge of risk assessment and managementStrong analytical and problem-solving skillsExcellent oral and written communication skillsLeadership and team-management skillsNegotiation and conflict resolution skillsAbility to interpret complex laws and regulationsCapability to foster a culture of compliance and integrityCapacity to influence and build relationships with stakeholders at all levels of the organizationBe able to travel on an as needed basisHigh ethical standards and professionalismAttention to detail and dedication to accuracyStrong initiative and a self-starter attitudeResilience under pressure and adaptability to change

Pursuant to state and local pay disclosure requirements, the pay range for this role, with final offer amount dependent on education, skills, experience, and location is: $321,500.00-450,000.00 annually for California. This role is also eligible for an annual discretionary bonus, various benefits, including medical/dental/vision, insurance, a 401(k) plan, paid time off, and other benefits in accordance with applicable plan documents. Benefits for Union represented employees will be in accordance with the applicable collective bargaining agreement.
