Dir, Corporate Counsel, M&A

Trusted/legal standards business partners serving as guardians of EW assets and reputation while advancing solutions for the benefit of all stakeholders for all things related to Merger & Acquisition activities.

Key Responsibilities:
• Provide legal guidance to the company, including working closely with the corporate development team, business Units (Transcatheter Heart Valves, Transcatheter Mitril and Tricuspid Therapies, Surgical Structural Heart, Implantable Heart Failure Management and Advanced Technology) and other business functions (e.g. accounting, treasury, tax, finance, intellectual property, etc.) in all stages of acquisitions, term sheet negotiations, deal structuring, running deal processes, drafting and negotiating definitive documents, closing deals, and addressing post-closing integration and indemnification issues.
• Lead the legal due diligence process in acquisitions and investments, coordinating with other legal and business partners, communicating findings, risks and proposed solutions to senior leadership; monitoring legal developments applicable to the M&A, investment and medtech spaces.
• Driving continuous improvements, scalability and operational excellence in deal processes and execution; developing and harmonizing standard processes and templates; create, improve and institutionalize knowledge base for M&A Legal and related support functions.
• Developing and delivering legal education to business colleagues in specific areas (e.g., M&A, antitrust, contract negotiation and drafting, etc.).

Education and Experience:
Juris Doctor or equivalent in from an ABA accredited law school, 8 years experience Corporate law focused on M&A and investment transactions. Required and
 Relevant large law firm experience with mergers and acquisitions Required
Other: Relevant industry experience (e.g., medical device, pharmaceuticals, etc.) or in highly regulated environments  Preferred

Additional Skills:
• Excellent analytical, detail-oriented and information seeking skills
• Extensive experience with minority investments (both equity and debt financings), including venture capital, PE/VC fund investments.
• Experience with strategic commercial transactions including joint ventures, development, supply, distribution, evaluation and other similar agreements.
• In-depth knowledge of corporate, securities, intellectual property and contract law.
• Strong communication skills, including the ability to convey complex legal and transactional concepts/issues clearly and succinctly to legal and business decision makers.
• Excellent organization and time management skills
• Excellent written and verbal communication skills and interpersonal relationship skills with ability to drive achievement of objectives
• Recognized as an expert in one or more legal disciplines  with broad-based advanced knowledge within the department
• Expert understanding of related aspects of legal processes and/or systems
• Ability to interact professionally with all organizational levels and proactively escalate issues to appropriate levels of management in the organization
• Ability to manage competing priorities in a fast-paced environment
• Must demonstrate Legal Standards
• Represent leadership on projects within multiple areas, interfacing with project managers, legal team and middle management
• Consult in project setting within multiple areas, interfacing with low to middle management
• Ability to provide leadership to outsourcing partners on a task level, participates on small scale RFP
• Adhere to all company rules and requirements (e.g., pandemic protocols, Environmental Health & Safety rules) and take adequate control measures in preventing injuries to themselves and others as well as to the protection of environment and prevention of pollution under their span of influence/control

For California (CA), the base pay range for this position is $170,000 to $241,000 (highly experienced).
