Director, SEC Reporting

About us:

The Director of SEC Reporting is a critical and highly visible role within Newco’s finance organization and the broader Company. This role will lead all corporate accounting and reporting activities relating to SEC Reporting and will work in collaboration with the Corporate Finance team on SOX Compliance, US GAAP accounting matters and company accounting policies, as well as the review and adoption of new accounting pronouncements. This role will also interface with the Investor Relations team in developing earnings materials and will take lead on project management relating to certain initiatives and high value finance and accounting projects, including involvement with acquisition integration and purchase accounting. The Director of SEC reporting will need to be an energetic and articulate individual with strong communication and interpersonal skills with a proven track record of cross-functional collaboration. This role is a critical liaison between Newco’s corporate teams and OpCo leadership.

Key responsibilities of the role include:

Lead the planning, preparation, and filing of NewCo’s 10-Q’s, 10-K’s, earnings release 8-Ks and other external reports, while ensuring compliance with US GAAP and SEC regulations. Partner with NewCo’s investor relations function to maintain the consistency of financial information provided externally and support for investor relation information requests.  Collaborate cross-functionally with legal, treasury, and communication functions on strategic projects.  Serve as the key point of contact for external auditors in planning and executing their work. Research technical accounting matters as necessary to support both Operating Company and Corporate management. Assist in the preparation of ad-hoc requests for analyses and information.  Lead the completion of various surveys (i.e. Fortune 500, Census Bureau, etc.) as required. Lead and/or participate in the continuous improvement of Newco’s finance processes, utilizing the Newco Business System (NBS)

Our successful candidate will be an excellent communicator, intellectually curious, and have a strong work ethic, in addition to being a self-starter with the bandwidth to manage competing priorities and work on several key projects at a given time. This individual will have the capability and knowledge to move seamlessly between detail and strategy and be able to communicate effectively across finance teams and the broader organization. It is important that our candidate have strong interpersonal skills with an ability to work with people at multiple levels throughout our organization, including the Company’s CEO, CFO, CAO, Investor Relations VP, and other members of leadership. Our successful candidate will have already held senior finance roles within a global multi-national organization and will have a proven track record of driving financial results and a demonstrated ability of leading a SEC reporting team.

Process-oriented with an ability to communicate goals, accomplishments, risks, and next steps at all stages of a project. Strong leader and with proven talent development skills. Solid technical background in SEC reporting for large public companies, US GAAP, and ability to research, understand and communicate technical issues in an effective and operational manner. Must be very customer focused in all aspects of the job. Ability to effectively recognize differences in application of accounting principles among multiple businesses/locations/countries and evaluate appropriateness based on varying facts and circumstances. Ability to identify potential internal control matters and suggest solutions to improve internal control systems and financial integrity across multiple business units/countries. Ability to assess the impact of new accounting pronouncements on the Company’s consolidated financial statements in a highly accurate and timely manner. Successfully support functional and operating unit leaders to understand and improve financial results on a sustainable basis. The individual must be a professional that takes pride in his/her work and who can deliver results. Dependable resource that will “do what it takes” to get the job done.

Education and Experience:

BS or BA Degree in Finance or Accounting required; CPA required, minimum 10 years’ experience. Strong technical background in SEC reporting for large public companies, US GAAP, and ability to understand, implement and communicate very technical issues in a simple and effective manner. Experience defining complex problems and designing, implementing, and maintaining effective processes, with a customer focus. Strong global business perspective with understanding of a multinational organization with multiple business units is strongly preferred. Experience in the financial aspects of revenue recognition, impairment, acquisitions and divestitures, due diligence and post-merger integration, reserves, tax accounting is preferred. Managerial experience in a “Big 4” accounting firm and operational controllership experience is strongly preferred. Knowledge of Workiva and XBRL.
