Director Corporate Acquisition & Divestiture Accounting

Eaton Corporation has an opening for a Director Corporate Acquisition & Divestiture Accounting.  This person will report directly to the Vice President & Assistant Controller.  This position will be based in Beachwood OH.

Position Overview:

The Director will manage on a global basis all activities associated with the accounting for acquisitions and divestitures.  Key functions will include target due diligence, valuation model and pro-forma support, technical accounting guidance, purchase price allocations and adjustments, post-close finance integration activities and the ongoing accounting and impairment testing related to goodwill and intangibles.

 

Essential Functions:
•    Develops and directs the financial/accounting due diligence process for both acquisition and divestiture transactions for Eaton globally and provides guidance to corporate development and senior leadership on how such findings impact valuation and transaction strategy.
•    Engages and manages external financial advisors on due diligence projects and purchase accounting valuations.  Negotiates contract terms with advisors and ensures service levels are maintained at satisfactory levels.
•    Partners with legal to draft applicable sections of transaction documents.
•    Acts as the project lead on closing balance sheet reviews in support of purchase price adjustments
•    Provides technical accounting guidance on acquisition and divestiture related issues to corporate development, business finance leaders, and senior leadership.
•    Leads the Finance Integration Management Office responsible for the acquisition integration framework, post-closing activities, including opening balance sheet reviews, purchase accounting adjustments, initial month-end accounting implementation, management of transitional service arrangements, and other post-combination accounting topics.
•    Partners with business leaders in a confidential manner to prepare businesses for sale, including preparation of pro-forma financials and estimated/actual gain/loss on sale.
•    Partners with third party valuation firms and the acquired operations to prepare the fixed asset and intangible valuations for acquired businesses.
•    Performs ongoing accounting and impairment testing related to Goodwill and Intangibles of acquired businesses.
•    Evaluates acquisitions and joint ventures to determine whether consolidation is required.
•    Manages the external and internal audit process for acquisition and divestiture accounting, including developing, directing and documenting internal controls over these areas.
•    Collaborates with cross-functional, global teams on all aspects of accounting for acquisitions and divestitures.
•    Manages all aspects of the accounting for acquisition and divestiture costs and restructuring.
 

 

Required Qualifications:

•    Minimum of 10 years of progressive accounting or finance experience
•    Previous experience within a large, global manufacturing organization
•    Previous experience managing financial due diligence projects.
•    Advanced knowledge of US GAAP
•    Solid understanding of valuation techniques including discounted cash flow and multiples-based valuation
•    Legally authorized to work in the US without company sponsorship.

Education:
•    An undergraduate degree is required.  A Masters degree is preferred.

•    Eaton recognizes this role as a critical position within the corporation and will create a compelling package consisting of a base salary, employee incentive compensation, including long term incentive and complete benefits.

The expected annual salary range for this role is $176249.97 - $258499.96 a year.  This role is also eligible for a variable incentive program.
