Role: Director & Counsel – Events, Experiences, Entertainment & Media
This role is responsible for leading and advising on a range of complex commercial transactions and other legal matters pertaining to: (i) sponsorship and custom event contracting; (ii) service provider/supplier contracting (e.g., event production and creative agencies), (iii) other entertainment contracting (e.g., talent and influencer); (iv) event ticket sales and distribution; (v) customer service materials (e.g., call center scripts); (v) publicity/privacy rights (e.g., releases) and intellectual property rights (e.g., content licensing); (vi) experiential marketing; (vii) review of advertising claims and marketing and press materials; (viii) consumer offers and benefits development and execution; (ix) media buying (e.g., contracting for media, such as digital media and custom content); and (x) risk mitigation analysis and strategy.
Here's just some of what you’ll do in this role:
Draft, review, and negotiate complex contracts with sophisticated counterparties in the areas of sponsorships and custom events, entertainment (including talent and influencers), licensing (including music, images, and other content), services providers/suppliers (including event production), media buying (including insertion order terms), and other related contracts (including releases). Effectively collaborate with American Express colleagues, agencies, and other partners to draft, review, and negotiate contracts that achieve American Express objectives. Proactively identify opportunities to drive efficiency, including by developing contract templates and guidelines to empower business and legal colleagues. Advise on event ticket sales and distribution, including customer service considerations. Advise on the development and execution of legally compliant offers and benefits, including terms and conditions and offer delivery controls. Accurately and efficiently identify and classify risks (impact and probability) and support business and compliance colleagues to mitigate and manage those risks. Communicate complex legal concepts and risks in a clear and concise manner while identifying innovative solutions to challenges in a collaborative and solutions-oriented manner. Review advertising claims and marketing and press materials (including appropriate disclosures and terms and conditions). Develop relevant guidelines for such materials. Develop strong relationships of trust; generate buy-in (internal and external to American Express) on issues of importance to achieve enterprise objectives. Leverage well-developed business acumen and a deep understanding of legal and regulatory requirements to advise business colleagues on transactions, initiatives, and challenges—and identify innovative and effective solutions to those challenges. Collaborate efficiently and effectively with colleagues across the enterprise (at various levels of seniority and functions, such as business, legal, and compliance) to receive and provide subject matter expertise relevant to the role. Manage competing priorities and aggressive timelines/deadlines; be responsive and provide prompt support. Provide legal support for ad-hoc projects supporting American Express’s business objectives and strategy.
Minimum Qualifications
Both a bachelor’s degree and Juris Doctor Admission, in good standing, to practice law in the State of New York 8+ years of relevant in-house and/or law firm experience
Preferred Qualifications
Experience working for other banks or financial institutions or in other highly regulated industries. Proven ability to act as a trusted advisor. Strong transactional experience: effectively draft, review, and negotiate contracts. Strong experience reviewing advertising and marketing materials/claims and development of offer terms and disclosures. Subject matter expertise on laws and regulations that impact consumer offers and card benefits, including UDAP/UDAAP. Honed analytical and problem-solving skills and ability to identify and classify risks accurately and efficiently. Team-oriented, self-starter, with excellent interpersonal and communication skills. Ability to identify the important from the urgent and to accurately prioritize tasks and get things done timely (often under timing constraints/fixed deadlines). Ability to generate innovative solutions to challenges and garner buying through relationship-building and effective communication. Ability to communicate complex issues clearly and persuasively, including to senior business leaders. Ability to build relationships and partner with others to drive results. Ability to identify, initiate, and drive end to end process improvements to enhance efficiency and productivity. Capacity to be agile and pivot appropriately when presented with new information or evolving circumstances. Ability to identify and implement process improvements to enhance efficiency and productivity. Team-oriented, self-starter with strong written and interpersonal communication skills, executive presence, and ability to effectively interact at all levels within the organization. Works well in cross-functional team settings.Salary Range: $170,000.00 to $255,000.00 annually + bonus + equity (if applicable) + benefits
