**Job Summary**
The Executive Director, Corporate Compliance & Ethics role is a strategic leadership position within the Corporate Legal Department. Working in close partnership with Charles River senior management, business areas and corporate functions, this role oversees the Company's global Legal Compliance (I-Comply) program, including all corporate (non-regulatory) compliance requirements and promotion of an ethical Company culture. The Executive Director, Corporate Compliance & Ethics assures the strategic development, implementation and management of a comprehensive compliance and ethics program designed to ensure compliance with laws, regulations and policies in each jurisdiction in which the Company operates globally. In alignment with the Company's goals, mission and values, responsibilities include the following:
**Essential Duties and Responsibilities:**
+ **Oversight:** Serve as the day-to-day leader of the Company's global Legal Compliance (I-Comply) program, including overseeing the development, administration and continual maturation of the program on a global scale.
+ **Leadership:** Manage the Legal Compliance team, including overseeing budget, ensuring adequate resources, serving as the direct manager for team members, delegating job responsibilities of supporting staff, and facilitating the Company's I-Comply Liaison program.
+ **Governance:** Reporting directly to the General Counsel & Chief Compliance Officer, advise and support senior leadership on compliance and ethics-related matters, and provide quarterly updates to the Audit Committee of the Board of Directors.
+ **Privacy:** Co-lead, together with Information Security, the Company's Global Privacy program, including tracking and ensuring compliance with applicable privacy laws, managing key elements of the Company's Global Privacy Governance Framework and partnering with key stakeholders globally on privacy matters.
+ **Risk Management:** Responsible for managing processes and procedures to address key compliance and ethics risks, including but not limited anti-bribery and anti-corruption risks, data privacy, conflicts of interest, business courtesies and HR compliance.
+ **Third-Party Risk Management:** Oversee and ensure the continued evolution of processes and procedures for compliance due diligence, monitoring, and auditing of third-party relationships (including sales intermediaries, high-risk suppliers and representatives interacting with the government on behalf of the Company).
+ **Risk Assessment:** Together with corporate functions and business leadership, conduct regular periodic Legal Compliance Risk Assessments across all businesses, including evaluating current risk areas and controls for gaps, developing risk mitigation plans, and driving implementation of risk mitigation plans.
+ **Monitoring and Auditing:** Oversee the monitoring and auditing of key components and risks of the Legal Compliance program, including partnering with Internal Audit to conduct regular and risk-based audits, establishing appropriate metrics, and reporting results.
+ **Mergers and Acquisitions:** Represent Legal Compliance for Company mergers, acquisitions and divestitures, including conducting pre- and post-acquisition compliance due diligence and executing on post-acquisition compliance integration plans.
+ **Ethical Corporate Culture:** Drive awareness of, and accountability for, maintaining an ethical Company culture and ensuring ethical decision-making, including partnering with senior leaders to actively embody 'tone at the top,' building strong 'tone at the middle' with managers, and regularly assessing ethical culture.
Essential Duties and Responsibilities (Cont.)
+ **Policies and Procedures:** Responsible for ongoing execution of the Company's global policy management process, including administering the Company's policy governance process and ensuring that all Legal Compliance policies (including the Code of Business Conduct and Ethics and related Legal Compliance policies) remain effective and up-to-date based on applicable laws and regulations.
+ **Training:** Develop, implement, conduct and monitor all Legal Compliance training, including ensuring completion of effective, risk-based training by all personnel, alignment of training to all applicable laws and regulations, and managing relationships with training providers.
+ **Communication:** Maintain an effective compliance and ethics communication program, including use of multiple media (newsletters, intranet, etc.), promotional events (including annual Compliance Day), and other outreach efforts on key Legal Compliance risks and program developments.
+ **Reporting:** Oversee the Charles River Helpline (compliance and ethics reporting system), including triaging reports, partnering with key stakeholders (Legal, HR, Internal Audit) to ensure all reports are promptly investigated and resolved, and providing regular updates to senior management and the Audit Committee of the Board.
+ **Investigations:** Together with key corporate stakeholders (Legal, HR, Internal Audit), ensure adequate procedures are in place to identify, investigate, and track potential legal, compliance or ethical misconduct, including processes for investigations, root cause analyses, disciplinary action, and prevention of retaliation.
+ **Incentives and Discipline:** Develop, communicate, and consistently apply incentives for ethical conduct and clear ramifications for misconduct.
+ **Program Assessment:** Continually assess the effectiveness of the Legal Compliance program through the development and deployment of metrics; develop and implement measures to improve the effectiveness of the Legal Compliance program, including benchmarking the program against other organizations.
+ Ensure that the appropriate technology and processes are in place to accomplish the foregoing
+ Perform all other related duties as assigned.
**Job Qualifications**
+ Education: Bachelor's Degree (B.A./B.S.) or equivalent required; advanced degree (Juris Doctor, Master of Business Administration) strongly preferred
+ Experience:
+ 10+ years' experience in a compliance and ethics role, preferably with a focus in life sciences.
+ 5+ years' experience as a people manager with experience managing highly accomplished professionals.
+ Experience working for a global company operating in diverse geographies and different time zones.
+ An equivalent combination of education and experience may be accepted as a satisfactory substitute for the specific education and experience listed above.
+ Certification/Licensure: Candidates with (or willing to obtain) a Certified Compliance & Ethics Professional (CCEP) or Health Care Compliance Professional (HCCP) certification desirable.
+ Other:
+ Comprehensive knowledge of corporate compliance function practices, including international, federal, state, and local laws and statutes.
+ Demonstrated administrative skills and project management skills, particularly among cross-functional teams.
+ Demonstrated skill in influencing management within multiple business, cultural and interpersonal environments.
+ Ability to build consensus and communicate effectively with all levels of personnel with a combination of tenacity and tact.
+ Analytical skills and the ability to demonstrate critical thinking.
+ Ability to balance and effectively prioritize numerous projects covering a variety of subject matters.
+ Excellent quantitative skills necessary to extract and analyze both hard and soft data.
**Physical Demands:**
+ Must regularly operate a computer and occasionally operate other office productivity machinery, such as a calculator, copy machine, and computer printer.
+ Must regularly communicate with employees and senior management; must be able to exchange accurate information.
**Work Environment:**
+ Remote - candidate will be expected to work remotely from their own workspace.
**Comments:**
+ This position requires occasional domestic and international travel.
Compensation Data
The pay range for this position is $260,000/yr. - $280,000/yr. Please note that salaries vary within the range based on factors including, but not limited to, experience, skills, education, certifications, and location.

The Corporate Functions provide operational support across Charles River in areas such as Human Resources, Finance, IT, Legal, Sales, Quality Assurance, Marketing, and Corporate Development. They partner with their colleagues across the company to develop and drive strategies and to set global standards. The functions are essential to providing a bridge between strategic vision and operational readiness, to ensure ongoing functional innovation and capability improvement.
