The Australia Loan Syndicate and Sales desk is a new team responsible for a large array of areas including primary UW, secondary sell down, debt placement, investor coverage and market intelligence. CIBC is seeking to hire an Executive Director level hire in order to build the franchise. The successful candidate must be well versed in the wider loan markets, capable of working proactively and productively against tight deadlines as well as. **JOB PURPOSE** + Responsible for supporting the Corporate Banking team with the origination, structuring and distribution of underwritten and arranged syndicated credits (both in senior / bank format as well as junior / institutional) within identified industry sectors in the Australian / New Zealand / Asiapac corporate loan portfolio. + Coverage of multiple accounts for both structuring distribution opportunities as well as secondary sell down. Must have a full understanding of a Distribution based origination franchise and experience of both senior and junior debt structures. + Consideration of overall Corporate Banking goals, including capital efficiency and maximized loan profitability. Will also participate in the development and execution of overall business strategies. **KEY ACCOUNTABILITIES** + Provide comparable transaction analysis and pricing views on new transactions pricing and structures, ensuring that transactions are priced and structured to market conditions + Comparable transactions research and data base maintenance (via external data providers and CIBC transactions) + Provide general background information on market conditions and liquidity analysis of appetite of individual banks and institutional investors and market liquidity capacity + Remain up-to-date on key market themes, including ESG and Net Zero + Prepare regular market update slides, for internal and external distribution, including analysis of loan market volumes and commentary / views on trends and activity + Prepare relevant material for pitches and attend pitch meetings with clients and investors as may be required + Contribute to developing, maintaining and nurturing bank and institutional investor contacts in Australia / New Zealand / AsiaPac via + regular calling programs with market participants + marketing events and meetings + thorough call notes from any investor contact, and tracking individual bank/investor demand/appetite + represent the bank to market participants and contribute to the development of a strong and respected market profile of the bank + Support the HoS to originate, structure and syndicate underwritten loan transactions to market + Assist the HoS in preparation of syndication opinion / materials required for internal credit / underwriting committees + Review mandate documents, loan documents, DD and financial model from a syndications point of view + Assist with effective and successful execution of underwritten transactions to ensure that final hold target is achieved, including: + assisting with the preparation of the syndication strategy, coordinating with relevant stakeholders internally, as well as other Underwriters/Bookrunners and the client + assisting with the preparation of key syndication materials, including: NDA, teaser, invitation letter, syndication term sheet, IM, commitment letter + working closely with potential incoming lenders in their credit approval process, helping with Q&A and internal coordination as required + Providing and updating status reports on syndication + Coordinating with other Underwriters/Bookrunners to prepare final allocation, and liaise with the client for finalisation + Liaise with League Table publication press to ensure that transactions closed are registered for League Table credits (Bookrunner or other) + Assist with secondary sell-down from time to time as may be required + Maintain dialogue with market participants on any secondary opportunities / reverse enquiries, and keep track of any secondary reverse enquiries / offers / bids + Support other senior members of the Corporate Banking team from time to time + Coordinate activities and relationships with other business areas and key stakeholders across the firm + Develop a strong internal network and relationships across geographies, and a personal profile within the firm + Ensure that recommendations and opinions offered to clients are in compliance with legislation and regulation, and are of the highest professional standards and that they reflect the judgment of the firm. + Work effectively within CIBC's corporate governance practices and policies (e.g,. Risk Management, Finance, Human Resources, Legal and Compliance) to ensure all potential risks are appropriately addressed and that CIBC legal / reputational issues and shareholder objectives are covered. **COMPLIANCE** **REQUIREMENTS/RESPONSIBILITIES** + As an employee of CIBC, the incumbent must comply with all applicable CIBC and Line of Business policies, standards, guidelines and controls **KNOWLEDGE AND SKILLS** + Experience in loan syndications. MBA, CFA or other relevant professional designation desired + Experience with secondary sales and closing + Experience with institutional investors / junior debt placement + Knowledge of other distribution channels – CRI / DCM / USPP Able to deal professionally with complexity + Excellent organisational skills and flexible approach in order to respond to shifting priorities on several simultaneous projects + Resilient individual with ability to multi-task, perform under pressure and to thrive in a fast-paced environment + Ability to work in a results oriented team, centered on clients. Must be a strong team player + Strong communicator: well-developed interpersonal, presentation, oral and written communication in order to convey factual and conceptual information to others and promote the interests of CIBC Capital Markets. + Motivated and driven individual with an entrepreneurial streak with ability to work well in a small team and to turn attention to varied tasks / deliverables + Unquestioned professionalism, ethics and reputation. Approach to the workplace which is based on open communication and a team atmosphere + Must have a full understanding of, and be fully conversant with Corporate Finance theory and practice + Good understanding of industry, including fundamental market factors, and capital markets activity and influences + Proven ability to effectively differentiate CIBC Capital Markets from the competition through quality of coverage, and service provided + Understand existing and potential clients’ needs sufficient to provide advice of appropriate credit structures given the state of credit markets and the credit quality assessment of the client. Well developed knowledge of corporate credit.
