Job Title: Corporate Development Leader
Position Overview:
We are seeking a seasoned Senior Corporate Development Leader to join our team as an individual contributor with expertise in managing the end-to-end M&A process. This role will be instrumental in executing mergers and acquisitions, from developing strategic frameworks to identifying and nurturing relationships with potential targets. The ideal candidate has a proven track record in M&A strategy, due diligence, valuation, and integration planning, with the ability to work independently in a fast-paced environment.

Key Responsibilities
• Strategic Development:
o Lead the development of M&A strategies aligned with corporate objectives and in collaboration with UKG Sales, Product, and Senior Leadership, identifying opportunities for growth, diversification, and innovation.
o Conduct market research and competitive analysis to identify potential M&A targets in priority regions and industries.
• Deal Sourcing & Relationship Management:
o Build and maintain relationships with potential M&A targets, advisors, and industry stakeholders.
o Develop pipelines of opportunities by networking with founders, investment bankers, and private equity firms.
• End-to-End M&A Execution:
o Drive the full lifecycle of M&A transactions, including valuation, due diligence, deal structuring, and negotiation of transaction documents.
o Manage cross-functional teams during due diligence, working with legal, finance, HR, and other departments to ensure comprehensive evaluations.
o Serve as the primary point of contact throughout the transaction process, ensuring seamless communication with all stakeholders.
• Integration Support:
o Collaborate with internal teams to develop post-acquisition integration plans, ensuring smooth onboarding and alignment with the broader corporate strategy.
• Thought Leadership:
o Provide insight and recommendations to senior leadership on emerging trends, potential risks, and strategic opportunities in international markets.
o Act as a trusted advisor, presenting business cases and financial models to executive teams.

Qualifications
• Experience:
o 8+ years of experience in corporate development, M&A, or investment banking, ideally including international transactions.
o Demonstrated ability to lead and close complex cross-border deals independently.
o Expertise in financial modeling, valuation techniques, and strategic analysis.
o Preferred – industry experience in Human Capital Management.
• Education:
o Bachelor’s degree in Finance, Business Administration, Economics, or a related field.
o MBA or equivalent advanced degree is strongly preferred.
• Skills:
o Strong knowledge of global M&A markets, regulations, and cultural nuances.
o Exceptional negotiation, analytical, and problem-solving abilities.
o Proven track record of relationship building with senior executives, founders, and stakeholders.
o High level of initiative with the ability to operate autonomously.
o Excellent written and verbal communication skills, with the ability to convey complex ideas succinctly.
• Location Flexibility:
o Willingness to travel as required for deal execution and relationship management.
