Team Profile
The Fixed Income Legal Team is looking for a Securitisation/Commercial Real Estate Finance Lawyer to join their team. The role is diverse and involves advising on a number of different product types, including commercial real estate lending, NAV financings, financial asset backed warehouse lending, ABS (origination and underwriting/structuring as well as ABS and CLO trading), CLOs, loan solutions, loan and loan portfolio trading. The actual tasks that the candidate will be involved in will vary from time to time, depending on business strategy and initiatives.
What you will be doing:
- Providing legal advice on structured finance transactions, including structured and secured lending transactions, securitisations (including repackagings), restructurings and other securitised products.
- Providing legal advice on new/existing products, including:
- Advising on development of new product structures for distribution in EMEA focusing on management of legal and reputation risk.
- Advising on restructuring and unwinds of existing transactions and products.
- Assisting with legal questions arising in respect of bespoke transactions.
- Other ad-hoc queries, which may include reviewing other types of transaction lifecycle documentation.
- Working closely with our Regulatory Affairs lawyers to identify and assess new EU regulatory initiatives that are impactful to the Fixed Income Division in Europe, including regulatory initiatives relating to lending, securitisation, market structure, transparency and investor protection issues.
- Providing legal coverage in relation to any advocacy efforts as well as business unit driven implementation regulatory projects, including on interpretation issues or interactions with regulators.
- Liaising with and advising colleagues in Accounting Policy, Credit, Finance, Operations and other divisions in relation to transactions as well as regulatory initiatives.
- In addition, the Fixed Income Legal team often supports divisional or firm wide initiatives, so the candidate will have an opportunity to work on a varied set of issues beyond fixed income transactions.

What we're looking for:
- Relevant experience (4 years) advising on securitisations (ABS/CLO), commercial real estate financings and structured secured finance transactions in a major law firm and/or in-house at a sell-side or buy-side financial institution.
- Professional maturity, confidence, presence, and initiative.
- Good judgment and practical outlook in the application of law.
- Strong written and organizational skills and an aptitude for risk and controls.
- England and Wales qualified (although other EU or common law jurisdictions will be considered).
- Good knowledge of EU/UK financial services regulation.
