As the General Counsel and Corporate Secretary, you will oversee all legal and compliance matters across the organization, ensuring Beyond, Inc. operates within applicable laws and regulations while advancing its strategic goals. Reporting directly to the Chief Financial and Administrative Officer, you will provide legal guidance on corporate governance, regulatory compliance, intellectual property, risk management, and commercial transactions. Your role will be critical in supporting the company’s growth, including navigating the legal complexities associated with acquisitions and emerging technologies such as blockchain and tokenization
Key Responsibilities:Legal Strategy and Compliance: Develop and implement comprehensive legal strategies that align with Beyond, Inc.'s business objectives. Ensure adherence to all applicable laws, including consumer protection, data privacy, and employment regulations.
Mergers and Acquisitions: Lead legal due diligence, structuring, negotiation, and integration processes for mergers, acquisitions, and divestitures. Provide strategic counsel on post-merger integrations, including intellectual property and regulatory compliance.
Contract Negotiation: Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, technology licensing, and strategic partnerships.
Intellectual Property Management: Oversee the protection and enforcement of the company’s intellectual property portfolio, ensuring robust brand protection strategies across all markets.
Corporate Secretary: To include corporate governance, compliance and records management maintaining the company's statutory registers, minutes of meetings, and other important documents required by law
Corporate Governance: Advise the Board of Directors and executive leadership on corporate governance best practices, SEC compliance, and public company reporting requirements.
Regulatory and Industry Compliance: Monitor evolving regulations affecting the e-commerce and retail industries, including securities laws, digital transactions, and fintech innovations. Advocate for favorable regulatory outcomes through engagement with policymakers and industry groups.
Risk Management and Litigation: Identify, assess, and mitigate legal risks across all areas of the business. Manage litigation strategy, dispute resolution, and regulatory investigations, working closely with external counsel as necessary.
Data Privacy and Cybersecurity: Ensure compliance with global data protection laws and cybersecurity best practices. Work with internal teams to develop policies and risk management strategies related to data security.
Employment Law and Workforce Compliance: Provide legal guidance on all aspects of employment law, including workplace policies, discrimination, wage and hour compliance, and internal investigations. Work closely with Human Resources to develop and implement policies that ensure compliance with federal, state, and local employment laws.
Blockchain and Tokenization: Provide legal oversight on blockchain-related initiatives, including tokenization strategies, smart contracts, and regulatory considerations for digital assets and emerging financial technologies.
Team Leadership: Lead and mentor the internal legal team, fostering professional development and ensuring high-quality legal services for all business units.
Qualifications:Education:
Juris Doctor (JD) degree from an accredited law school.Admission to the bar in the state of Utah or eligibility for in-house counsel registration.Experience:
Minimum of 10 years of legal experience, including at least 2 years as a General Counsel.Strong background in corporate law, mergers and acquisitions, intellectual property, and regulatory compliance.Experience with blockchain, tokenization, and fintech-related legal matters is highly desirable.Prior experience in the e-commerce or retail sectors is preferred.Skills:
Ability to navigate complex legal transactions and provide strategic counsel to senior leadership.Exceptional communication and negotiation skills, with the ability to advise stakeholders at all levels.Strong analytical and problem-solving abilities with a proactive, solution-oriented mindset.Excellent interpersonal skills to collaborate across departments and build strong internal and external relationships.Additional Qualifications:
High level of integrity, discretion, and sound judgment in handling sensitive and confidential matters.Experience hiring and leading diverse teams.Physical RequirementsThis position requires the incumbent to sit, stand and perform general office functions.
