We are currently seeking an Internal (In-house) Corporate Attorney to support us domestically and Internationally. In this role, you will have expertise in corporate law, mergers & acquisitions (M&A), cross-border transactions, international regulatory compliance, and corporate governance. As an integral part of our in-house legal team, you will provide legal counsel on a wide range of corporate matters, ensuring compliance with local and international laws, and supporting the company's global operations. This is a hybrid role in our corporate headquarters in Rockland County, NY.
Responsibilities:
• Corporate Governance & Compliance: Advise on corporate governance matters, board activities, shareholder relations, and compliance with relevant corporate laws and regulations across multiple jurisdictions.
• Cross-Border Transactions: Provide legal advice and support on international M&A transactions, joint ventures, partnerships, and strategic alliances. Oversee and manage the legal aspects of cross-border deals, including negotiations, due diligence, structuring, and post-transaction integration.
• International Regulatory Compliance: Ensure compliance with international laws, including antitrust, trade, export control, anti-bribery, data privacy, and employment laws, as well as other jurisdiction-specific regulations.
• Contract Negotiation and Drafting: Draft, review, and negotiate a variety of contracts, including international sales agreements, distribution agreements, supply chain contracts, and licensing agreements. Ensure that contracts align with local laws and global standards.
• Risk Management: Identify and assess potential legal risks in global operations, advising internal stakeholders on risk mitigation strategies and solutions.
• Dispute Resolution: Support the company in the management of international disputes, including working with external counsel on litigation, arbitration, and other dispute resolution mechanisms.
• Legal Compliance and Privacy Protection:
• Serve as the primary contact for legal advice between the legal department and customer support, focusing on legal issues, data protection, and privacy compliance.
• Guarantee adherence to all pertinent privacy regulations, including GDPR, CCPA, and other data protection laws.
• Partner with the legal team to meticulously review and analyze lease contracts, ensuring they are in line with legal requirements and company policies.
• Keep abreast of evolving privacy and data protection laws, modifying company practices to sustain compliance.
• Communication and Collaboration:
• Foster open communication with internal teams and external parties.
• Promote a collaborative approach to achieve legal compliance and fraud prevention goals.
• Provide administrative support and conduct research to assist legal counsel in various legal areas
• Draft well researched and articulate legal briefs memos and contracts by analyzing statues and recorded judicial decisions, contracts, legal articles and legal code
Qualifications:
• Juris Doctor (JD) from an accredited law school.
• Admission to practice law in the relevant jurisdiction.
• A minimum of 4 years of experience, which can include experience in a private firm and in a corporate legal setting.
• Experience working in-house for a multinational corporation or a global law firm with a focus on corporate law.
• Experience with international arbitration or cross-border litigation.
• A global mindset with experience navigating legal challenges in emerging markets.
• Experience in international M&A, joint ventures, commercial contracts, and corporate governance.
• In-depth knowledge of international regulatory frameworks (e.g., GDPR, FCPA, export controls, competition law).
• Experience advising on legal issues in multiple jurisdictions, including understanding of legal differences across countries.
• Familiarity with Sarbanes-Oxley compliance, security laws, data protection, and privacy laws including GDPR and CCPA.
• Excellent communication and collaboration skills, with the ability to engage effectively with various stakeholders.
• Demonstrated ability to manage multiple projects, prioritize tasks, and deliver results in a fast-paced environment.
• Ability to work effectively in a fast-paced, global environment with multiple stakeholders.
• Strong problem-solving skills and the ability to provide clear and practical legal advice.
• Excellent communication skills (written and verbal) with the ability to present complex legal issues to non-legal stakeholders.
• Fluent in English (additional languages are a plus, especially in relevant international markets).
