This is an office-based position in Bangalore, India.
Purpose and Scope:
Responsible for the overall function of Board of Astellas India as per Company’s Act 2013 and RBI compliances. Coordinate and collaborate with consultants in India for getting compliance done well in advance. Compliance of POSH Act. Compliance of Shops and Establishment Act. Any other legal assistance required by Board. Assisting finance function of the company.
Essential Job Responsibilities:
Preparation and filing of various forms and return with Registrar of Companies (ROC) for periodic compliances with respect to Companies Act, 2013. Prepare, conduct, and finalize Board Meetings and other Committee meetings and draft Minutes for them including Annual General Meeting. To assist and advise the Board in ensuring good Corporate Governance & in complying with the Corporate Governance requirements and best practices. To ensure compliance of procedural aspects of appointment /cessation/resignation of Directors. Assist the Directors in complying with the various formalities of Directorship as per the Companies Act, 2013. Appraise/Advise the Senior Management Teams on all critical Compliance related matters. Ensure Compliances Requirements with RBI and other regulators. Liaise with the finance team to ensure inter-company transactions are duly recorded and are compliant with the relevant Laws. To maintain updated Statutory Register records, in accordance with the requirements of the Act.
