Summary
As the Global Sr. Manager, SOX Compliance, you will support and report directly to the VP, Internal Audit, and play a critical role in driving SOX compliance across NewCo’s global Operating Companies during a period of growth, acquisition, and transformation in the company’s portfolio of businesses.
You will lead NewCo’s global SOX Compliance Program for all of the operating companies. You will also partner with key stakeholders / SOX Champions across our global businesses and provide leadership and guidance in establishing SOX processes and controls for any future acquisitions.
Roles and Responsibilities
Lead the execution of the NewCo SOX Compliance program and collaborate with the VP, Internal Audit to develop long-term SOX compliance strategy. Conduct SOX risk assessments to identify in-scope locations, business processes, key internal controls, and applications to support 404b evaluation. Lead key initiatives to improve and advance the design and assessment of internal controls over financial reporting. Lead internal controls testing activities over financial reporting at the corporate level and selected Operating Companies. Execute SOX readiness assessments and controls implementation for new acquisitions. Identify opportunities to improve control processes and collaborate with Operating Company management to develop action plans to address key risks. Lead training and consulting services to SOX champions within NewCo’s operating companies. Training includes: process documentation, testing methodology, management review controls, and controls over Information Produced by the Entity. Serve as a Subject Matter Expert (SME) for the financial reporting risk domain and compliance for SOX. Collaborate with external auditors, process owners, and key stakeholders to ensure alignment in methodologies. Lead the control deficiency evaluation process and aggregation analysis. Develop a strategy for integrating automation and AI technologies to improve controls performance and monitoring. Maintain awareness of emerging expectations of the SEC and PCAOB guidance to external auditors that may impact the company’s SOX compliance processes. Develop the SOX resource plan including managing third-party co-source / consultant resources. Recruit, develop, and mentor internal audit team members.Requirements
You are driven and results-oriented, with proven experience supporting Sarbanes-Oxley compliance at either a Big 4 Accounting firm or a Fortune 500 public company, ideally with experience with manufacturing companies. You are comfortable working across complex, diverse businesses and possess a hunger for knowledge and dedication to continuous improvement. You are an exceptional communicator with the business acumen to build relationships and partner effectively with senior management across the global business.
Professional Background & Attributes:
BA/BS degree in accounting or related field. 10+ years of SOX compliance experience with either a Big 4 accounting firm, or a Fortune 500 public company. Experience working with SOX controls frameworks, especially with manufacturing companies. Experience with leading teams and managing competing priorities in a dynamic environment experiencing rapid growth and change. Possess executive presence, excellent communication skills needed to build relationships across all in-scope SOX locations; nationally and internationally. Extensive knowledge of US GAAP, COSO internal control framework, PCAOB audit standards and SOX compliance requirements. Advanced technical understanding of business processes, financial reporting risks, and internal control standards as required by the external auditor. Ability to balance standard methodologies and practical implementation recommendations. Experience with AuditBoard is preferred. Ability to travel ~15-25%, both domestic and international.
