General Description
The Head of Corporate Governance Asia is responsible for leading and overseeing all aspects of corporate governance in Asia. This involves ensuring that the organization operates in compliance with the Global Subsidiary Governance Policy and the Global Subsidiary Governance Standard, regulatory requirements, internal policies, and best practices in corporate governance. The Head of Corporate Governance Asia will work closely with the Head of Global Subsidiary Governance, senior management, market General Counsel, and the various boards of directors to enhance governance frameworks, promote ethical standards, and support strategic decision-making.
Key Responsibilities:
General
Principal point of contact for all matters related to subsidiary governance in the Asia Segment and Region, as well as a key resource for the Asia Segment GC and the GWAM Segment GC, as well as other CoE members.Key responsibilities include:Coordinating feedback from the Asia Region on any Global Subsidiary Governance Office (‘GSGO’) initiativesCoordinating and overseeing the roll-out and implementation of subsidiary governance initiatives in the Asia RegionPromptly escalating to the GSGO any potential issues impacting roll-out and/or implementation of GSGO initiativesReporting to GSGO on status of roll-out and implementation of GSGO initiatives Leading the preparation, review, consolidation and submission of quarterly subsidiary governance reports and governance activitiesMaintaining accurate and up-to-date records of governance-related documentationCoordinating any corporate governance attestationsGovernance Framework Development
Help develop, implement, and maintain robust corporate governance frameworks, policies, and procedures that align with the company’s strategic objectives and regulatory requirements.Regularly review and update governance policies to ensure they remain relevant and effective.Ensure compliance with the Global Subsidiary Governance Policy and the Global Subsidiary Governance Standard and GSGO expectations, including through formalized controls and processes.Regulatory Compliance
Monitor and ensure compliance in the Asia region with all relevant local, regional, and international laws and regulations with respect to corporate governance.Where necessary, liaise with regulatory bodies, either directly or with the support of the local corporate governance team, and ensure timely and accurate reporting.Board Support
Provide comprehensive support to the relevant boards of directors and committees, including scheduling meetings, preparing agendas, and distributing materials, as well as onboarding of new board members.Ensure effective communication between the board and management.From time to time, update board skills matrix and coordinate board assessments.Risk Management
Identify, assess, and manage corporate governance-related risks.Collaborate with the risk management team to integrate governance considerations into the overall risk management framework.Stay abreast of emerging trends, best practices, and regulatory changes in corporate governance.Lead initiatives to continuously improve governance processes and practices within the region.Stakeholder Engagement:
Build and maintain strong relationships with key stakeholders, including senior management, market General Counsel, and the various boards of directors.Knowledge/Skills/Competencies/Education:
Bachelor’s degree in Business Administration, Law, Finance, or a related field. A Master’s degree or professional certification is preferred.Minimum of 10 years of experience in corporate governance or a related field.Experience leading a team is a plus.In-depth understanding of corporate governance principles, regulatory requirements, and best practices.Strong leadership, strategic thinking skills and ability to build relationship with business stakeholders.Diversity & Ethics – Shows respect and sensitivity for cultural diversity, treats people with respect regardless of their position or status, exhibits high standard of integrity in decision making, and adheres to extremely high ethical codes of conduct.Personal Attributes and Culture Fit:
