Applied Ventures, Legal. The person in this position will report to the Applied Materials, Inc. Vice President, Legal, Corporate Business Development (CBD). Applied Ventures LLC (AV) is Applied Materials’ investment adviser and private company investing group. The position requires full-time, in-office presence in Applied’s Santa Clara CA headquarters.
Counsel Role. The attorney’s role will be as the primary counsel of AV, working closely with other Applied functional groups that support AV, including the Finance Group and Legal & Compliance Organization (LCO) and involve (a) negotiation, and advising on, private equity and venture capital investments in the U.S., E.U., England and Wales, Republic of India, Republic of Korea and other jurisdictions; (b) formation, negotiation, amendments to, and ensuring statutory and regulatory compliance for, investment limited partnerships in the U.S. and the European Union; (c) working with outside counsel to ensure compliance with all U.S federal and state statutes and related rules, regulations and executive orders, and analogous regulations and rules of the European Union and its member states, which apply to the operations of AV and its affiliates acting in concert with AV; (d) preparing periodic reports regarding the foregoing; and (e) working with Applied’s internal Trade Group and outside counsel to ensure compliance with U.S. export controls and sanctions rules as they may be applied to AV investments in portfolio companies.
A sample of some of the tasks the attorney would be involved in:
Ensure compliance with all laws and regulations at all timesAttend weekly three-hour AV team meetingsPrepare and negotiate non-disclosure agreements (and reviewing and responding to those submitted by potential targets’ counsel or investment banks) Work with internal tax and finance groups and external counsel on transaction structuringPrepare and advise the deal team regarding the negotiation of term sheetsConduct and coordinate outside counsel’s due diligence reviews (both preliminary and comprehensive) of potential portfolio companies, including coordinating with IP counselCoordinate with LCO groups as necessary to ensure LCO’s awareness of, and involvement in, due diligence investigationsPrepare due diligence report-outs for the involved Applied Business Unit and deal teamsWork with outside counsel on preparation of definitive transaction documentation, working with the AV deal lead to drive agreement negotiationsDrive resolution of pre-closing and closing activitiesDevelop and communicate responses to critical legal issues as they arise Drive requests for AV to take board of director seats on AV portfolio company board of directors and coordinate delivery of required training to appointed board membersEnsure the delivery of training to all AV staff members regarding treatment, non-use and non-disclosure of portfolio companies’ confidential information Develop playbooks and process improvements for the AV teamRequired Experience and Skills

$216,000.00 - $297,000.00The salary offered to a selected candidate will be based on multiple factors including location, hire grade, job-related knowledge, skills, experience, and with consideration of internal equity of our current team members. In addition to a comprehensive benefits package, candidates may be eligible for other forms of compensation such as participation in a bonus and a stock award program, as applicable.
For all sales roles, the posted salary range is the Target Total Cash (TTC) range for the role, which is the sum of base salary and target bonus amount at 100% goal achievement.
