Position Summary
The Junior Staff Attorney will provide comprehensive legal support to Blue Foundry Bancorp and its subsidiaries, including Blue Foundry Bank (collectively, the Organization). This role will ensure compliance with regulatory requirements, maintain corporate governance standards, and support legal operations related to financing transactions, contracts, litigation, and regulatory compliance.
The individual will work closely with the Chief Legal Officer, company leadership, and external stakeholders to ensure adherence to legal and regulatory frameworks while assisting with the Organization's daily legal and corporate governance functions.
Position Requirements
+ Juris Doctor (JD) from an accredited law school.
+ Admission to the New Jersey Bar (in good standing) or eligibility for in-house counsel registration where applicable.
+ 3+ years of experience in banking, finance, or corporate law, either in private practice or in-house with a financial institution.
+ Experience advising a public company on governance and SEC compliance matters.
+ Strong understanding of corporate governance principles, financial regulations, and SEC reporting requirements.
+ Proficiency in Microsoft 365, as well as legal research platforms
+ High attention to detail with excellent analytical and problem-solving skills.
+ Strong communication and interpersonal skills to work with diverse internal and external stakeholders.
Primary Responsibilities
+ Provide legal counsel on a wide range of matters, including corporate governance, financing transactions, regulatory compliance, and litigation.
+ Assist in the administration of board and committee meetings, including minute-taking and preparing meeting materials.
+ Support the preparation and filing of corporate documents, including board and committee resolutions, minutes, and regulatory filings.
+ Ensure compliance with SEC regulations, including public company reporting and disclosure requirements.
+ Advise the Organization’s directors, officers, and employees on legal rights and obligations under applicable state and federal banking statutes and regulations.
+ Conduct legal research on power of attorneys, trusts, corporate governance issues, and regulatory developments.
+ Support compliance with federal and state laws governing banking operations, financial transactions, and employment policies.
+ Assist in maintaining corporate governance policies, procedures, and best practices.
+ Assist with litigation support matters, including responding to legal claims, subpoenas, and court filings.
+ Coordinate and manage external counsel engagements.
