Job Description

The Law Clerk will work be an integral part of the Corporate legal team, including company counsel, the corporate secretary and other law clerks. In addition to corporate responsibilities, the team is involved with securities and corporate governance matters for public companies within Brookfield’s Global Manager Group. This position is part of a dynamic, fast-paced and growing business.

Responsibilities:

Managing corporate records, including maintenance of minute books and the corporate entity databasePreparing documents for formation and dissolution of entitiesFiling annual returns filings in Canada and U.S. and drafting minutes/resolutionsPreparing organizational resolutions, bylaws, LLC operating agreements and other constating documentsPerforming various corporate searches and corporate on-line registrationsPreparing and completing Canadian securities regulatory filings for public companies on SEDAR, EDGAR and TSX, including with respect to Insider Reporting obligationsDrafting and/or reviewing legal documents and resolutions and assisting with diligence to support acquisitions, dispositions, financings, and corporate and restructuring mattersLiaise with internal legal counsel and outside counsel and other internal functional groupsPreparing officer certificates and notarial certificatesDocumenting flows of funds, including capital contributions, dividends, returns of capital and distributions; transfers of interests; changes to director and officer slates; special approvals; and maintaining organization chartsAssisting with preparation of public/private company Board and Committee meeting materials, including the preparation of notices, agendas and resolutions [JBB: Already referenced above]. Assisting with corporate disclosure, compliance activities and regulatory filingsAssisting treasury teams with bank account opening and KYC requests and requirementsSupporting compliance activities, including assisting with periodic reporting materials and filingsAssisting with implementation of legal policies, processes and standards, and documenting related compliance process mapsMaintaining entity lists and organizational structure charts and co-ordinating quarterly with various business groups and operating companies for updates; and preparing quarterly entity list submissionsManage Diligent entities database and CSC portalAssisting with preparation of annual disclosures, including Management Information Circulars, Annual Reports, and Annual Information Forms

Requirements:

Diploma from a recognized Ontario Law Clerk program certified with The Institute of Law Clerks of Ontario (or qualifying legal experience with an outstanding performance record)2-4 years of experience as a corporate law clerk. Experience in a law firm or in-house legal department of large public company an asset Comfortable with SEDI, SEDAR, EDGAR and TSX filingsFamiliar with various Canadian and provincial corporate registry on-line and paper filings and searches and U.S. Secretary of State business entity searches and filingsProfessionalism and ability to take accountability for providing timely and accurate responses to inquiries from internal and external stakeholders Able to work well under pressure, to manage multiple tasks and take ownership in supporting the team Excellent interpersonal skills and ability to work independently with minimal supervision, as well as in a group alongside all levels and departments of the organizationExcellent communication (verbal and written) and organizational skillsMS Word, Excel, PowerPoint, Visio, iManage and corporate legal records software/database
