Experience provide logistical assistance to board committees, including drafting agendas, setting timelines for review of materials, distributing materials and drafting initial minutesExperience drafting Secretary Certificates for other stakeholders’ use in transactions (including Certificate of Incorporation / By-Laws / good standing certificates), and submitting relevant NYSE interim written affirmationsExperience maintaining organizational documents, e.g., Certificates of IncorporationExperience with managing projects and risk control oversightExperience working in-house Understanding of Federal banking regulations and US state corporate lawStrong research skillsExcellent verbal and written communication skillsStrong analytical skills with high attention to detail and accuracyStrong organizational, multi-tasking, and prioritizing skillsAbility to work independently with minimal direct supervisionJob Expectations:
