Position Title: Legal Advisor – Mergers and Acquisitions
Location: Riyadh, Saudi Arabia

Position Summary The Legal Advisor – Mergers and Acquisitions is responsible for providing expert legal counsel on corporate transactions, including mergers, acquisitions, joint ventures, and other strategic investments. This role ensures compliance with all regulatory requirements, mitigates legal risks, and safeguards the company’s interests during transaction negotiations. The ideal candidate will possess strong analytical, negotiation, and communication skills, with extensive experience in corporate law and M&A transactions.
Key Responsibilities Legal Advisory & Compliance Provide legal advice on mergers, acquisitions, divestitures, joint ventures, and other corporate transactions. Conduct due diligence, identify legal risks, and provide strategic recommendations to mitigate potential liabilities. Ensure compliance with local and international laws, regulations, and industry standards related to corporate transactions. Draft, review, and negotiate complex legal agreements, including share purchase agreements, asset purchase agreements, and shareholder agreements. Liaise with external legal counsel as necessary for transaction execution and regulatory compliance. Transaction Management Assist in structuring, negotiating, and executing M&A deals, ensuring alignment with corporate strategy. Support cross-functional teams, including finance, tax, and operations, to facilitate seamless deal execution. Oversee legal due diligence processes and provide risk assessments to key stakeholders. Coordinate regulatory filings, approvals, and compliance matters related to transactions. Risk Mitigation & Dispute Resolution Identify potential legal risks associated with M&A activities and propose risk mitigation strategies. Advise on dispute resolution, regulatory investigations, and litigation risks arising from transactions. Ensure adherence to antitrust, competition, and securities laws in all transactions. Corporate Governance & Strategic Support Advise on corporate governance matters related to mergers, acquisitions, and business integrations. Support post-merger integration efforts from a legal perspective, ensuring a smooth transition. Assist in the development and implementation of legal policies and best practices for corporate transactions. Qualifications & Experience Education & Certifications Bachelor’s degree in Law (LLB) is required; Master’s degree (LLM) in Corporate Law or Business Law is preferred. Admission to the Bar in a relevant jurisdiction. Experience Minimum 5-8 years of experience in corporate law, with a strong focus on M&A transactions. Proven track record of handling complex M&A deals, from due diligence to post-merger integration. Experience in advising multinational corporations, private equity firms, or investment banks is a plus. Skills & Competencies Strong knowledge of corporate, commercial, and competition law. Excellent contract drafting and negotiation skills. Analytical mindset with the ability to assess risks and provide strategic solutions. Effective communication and stakeholder management skills. Ability to work in high-pressure environments with tight deadlines. Familiarity with international M&A regulations and compliance frameworks.
