Legal Analyst

The Legal Analyst proactively leads, coordinates and manages legal support in connection with complex M&A transactions, global legal fee electronic billing/case management database system, legal project requests, litigation and claims, and general corporate governance matters.

 

Your Day to Day:

Provide legal analyst services in relation to complex M&A transactions (public and private) from inception to closing, including due diligence, purchase agreement preparation, disclosure schedules, separation, and transition services.  Assist in the signing and closing of transactions, including the preparation of closing deliverables.   Assist with corporate governance actions for the global enterprise, including liaising with internal stakeholders and external counsel; preparing and maintaining corporate minute books and records; preparing and executing corporate filings; responding to requests for corporate information from various sources throughout the global enterprise.  Assist with litigation and claims matters, including coordinating document collection, review and production; investigating facts; analyzing legal issues; developing case strategy; managing pleadings and discovery; summarizing information; interviewing witnesses; preparing witnesses for testimony; assembling exhibits; and supporting internal and external auditors.  In connection with M&A projects, work with in-house and external counsel to draft and file documents to form, maintain or change legal entities, including articles of incorporation, bylaws, board and shareholder consents, and officer’s certificates. Support corporate governance actions for the global enterprise, including liaising with internal stakeholders and external counsel; preparing and maintaining corporate minute books and records; preparing and executing corporate filings; tracking subsidiary director and officer composition and requirements; responding to requests for corporate information from various sources throughout the global enterprise; supporting finance, treasury, tax and M&A activities; and executing special projects  Lead all aspects of the Legal Tacker electronic billing platform, including matter set up, correspondence with firms and internal stakeholders, user access/maintenance, invoice approval process, budgeting, training, preparation of reports and resolution of issues. Lead, manage and/or assist on projects as they arise within Legal & Compliance.

 

Who You Are:

Bachelor’s degree or equivalent from an accredited institution 3+ years paralegal or legal support experience Paralegal certification (such as CRP® or RP®) preferred Proficiency with customary computer hardware/software, including the full suite of Microsoft office products - Outlook, Word, Teams, SharePoint, Excel, etc.  Proficiency with specialized software platforms such as Relativity (discovery), CT Advantage (service of process/corporate filings), Westlaw/Practical Law (legal research), PACER (federal court docketing system), etc. Good leadership and collaboration skills; excellent oral and written communication skills; detail oriented; suitable substantive knowledge; excellent organizational skills.
