JOB SUMMARY:
Textron Financial Corporation (TFC) is seeking an experienced paralegal / legal assistant / contract administrator to join the legal team and assist the General Counsel with the preparation of reports, corporate records, managing the case management and invoicing systems, discovery matters, and other legal matters on a regular basis.
JOB RESPONSIBILITIES:
Independently draft and prepare corporate minutes, signature authority documents, evidence of officer and director changes, annual meeting minutes and corporate changes for TFC and its entities, including retention and organization of corporate secretary records.Manage matter management and corporate summaries that occur between Textron Inc. and TFC. Manage the legal expense process. Compose legal documents, correspondence, and other items of a confidential and complex nature.Oversee (including preparation of documents) contract renewals and amendments for international employees and servicing agreements among Textron entities.Review and analyze all legal invoices and expenses for compliance with company policies and guidelines and document any statements that qualify as an exception.Negotiate with outside counsel on fee reduction, repayment of overpaid fees and charges that are outside of policy.Actively coordinate with attorneys in the preparation, filing, and managing of documents in various matters. Provide backup support for legal team.Assist General Counsel with all reports and presentations necessary to report on legal fees and budgets; assists with legal AOP; oversees all training materials and is the point person with Textron Inc., regarding annual training completed and reported.Manage record keeping for all contract-related correspondence and documentation.Coordinate discovery requests and responses, work with business unit on settlements and prepare/view settlement documents, work with judgments.Assist in management of the records retention policy requirements.Issue suspension orders, manage records retention policy requirements.Monitor receipt of bankruptcy pleadings; prepare and file proofs of claim.Assist with company-wide compliance training and compliance plan.Timely review and process all service of process served on TFC and its subsidiaries.File annual returns and reports with state departments, renew licenses, coordinate audit requests from state financial institution divisions and company responses.Legal research and other duties as assigned.JOB SUMMARY:

High school education with training in the legal, accounting, or related field.Certification or degree in legal, paralegal, accounting, or related field preferred.POSITION COMPETENCIES:
