Legal Counsel, North Asia
To provide legal advisory, company secretarial, corporate and administrative support to the Legal team. Carry out a wide range of legal and administrative duties. The role involves knowledge and experience in corporate and oil and gas law and specialist duties and direct contact with customers, suppliers, government entities and outside counsels. Responsibilities: + Review, draft and negotiate company's revenue generating contracts and escalating legal risks for the necessary approvals in accordance with the company's contracting policy for oil and gas services. + Review, draft and negotiate third party supply contracts. + Assisting with company incorporation and obtaining the relevant government approvals and any other legal approvals. + Drafting and reviewing any required joint venture agreements, formation agreements, shareholder and board resolutions, articles of association, memorandum of association and powers of attorney. + Working on the issuance of any necessary powers of attorney and notarising them. + Assisting with any commercial and labour disputes related matters. + Updating and completing all forms and legal documents required by the government in accordance with the applicable laws and regulations. + inquiring and responding to any labour related and government related queries + Provide legal advice to internal departments when required supporting the business in taking related decisions. + Researching and advising on legal queries pertaining to local laws. + Keeping records of all corporate documents for the various legal entities in Mainland China, Hong Kong China and Japan. + Dealing with external counsel in relation to any legal matters, litigation cases and tracking legal expenses. + Assisting with the settlement of legal invoices to external counsel, etc. + Proof-reading, reviewing and drafting letters, contracts and legal documents including agency agreements, third party services agreements, software license agreements, parent company guarantees, bank guarantees etc. + Liaise with agents, intermediaries and co-workers, reviewing and organizing documents and reports and preparing individual files for due diligence on all agents, distributors and third-party intermediaries for purposes of FCPA compliance review. + Assist with all required compliance related requests including training and investigation of reported matters. + Perform other duties which may be assigned from time to time. + Ensuring to inform the business management of any updates in relation to the above. Qualifications: + Law Degree from the university + Basic Legal Professional Qualification Certificate + At least 3 years of post-qualification experience, including company secretarial duties and practical experience such as reviewing documents, contracts, and company policies to ensure compliance with any policy changes. + Excellent written and oral communication, both in English and Chinese + Qualified lawyer in China or another recognised jurisdiction. + Experienced in dealing with governmental authorities and providing excellent service through listening, follow-through, and a willingness to help. + Fast learner, results-oriented, and highly committed to achieving corporate goals. + Strong interpersonal, communication, and negotiation skills, with the ability to work independently and as part of a team. + Adaptable to changes in policies, procedures, priorities, or work environments. + Proficient in presenting, analyzing, and solving complex issues, including managing tight deadlines and working under pressure. + Capable of traveling independently (15%-20%) to locations such as Tianjin, Beijing, Zibo, Jianhu, and Huizhou.
