CONTEXT
Our markets are changing rapidly and so are the needs of our Clients. As we evolve from being a predominantly print based publisher into a truly global, brand focused digital media and entertainment company, our routes to market are becoming more diverse and more complex. This is leading to an increase in the number of different sales models we must maintain and a growth in the complexity of deals we are making. At the same time, this is taking place against a backdrop of rapid change in the regulatory context for digital advertising, marketing, copyright and data laws. PURPOSE
In collaboration with colleagues within the Legal & Policy department, you will provide business-oriented legal guidance and strategies for talent relationships across Condé Nast commercial and editorial, while supporting colleagues as needed on other types of branded content transactions and revenue related matters.
More specifically, the purpose of your role is to help our commercial and editorial teams deliver their deals, resolve issues arising from these, advise on compliance related to consumer and revenue matters and build long term client relationships.
Primary tasks will include:
Structure, draft, and negotiate a high volume of talent-related agreements for Condé Nast editorial and commercial content and events, with a particular emphasis on photo shoots, digital video, and podcasts
Ensure that negotiated terms with talent are logged and tracked, supervising compliance at production and distribution lifecycle phases
Support the development of standard policies, processes, tools and documents for revenue generating and branded content production related activities and work with commercial colleagues to ensure that agreed workflows and processes are being followed.
Ideate and implement ways to improve and optimize production legal policies and procedures
Support the delivery of training and advice regarding Federal Trade Commission and other disclosure requirements, including requirements applicable to social media influencers.
Advise on compliance with local health and safety laws, permitting requirements and other local legal requirements
If bandwidth allows, you may also be asked to:
Support the negotiation of standard terms with advertising agencies and non-disclosure agreements.
Support the delivery of advice to the commercial team on legal issues relating to the sale of advertising, with a focus on media and digital advertising and custom and branded content and services, across digital, print, video, social and experiential, including, for example, agreements for traditional and programmatic advertising, agreements relating to affiliate marketing (both advertiser and vendor terms), merchandising and advertising trade, advertising sales representative deals, sweepstakes and contests, non-disclosure agreements, sponsorships, events/activations, product integration and editorial sponsorships.
Support the consumer revenue teams on legal issues related to marketing and consumer-facing revenue producing activities, including, for example, affiliate deals, subscription products and related consumer offer flows, and e-commerce.
Support the delivery of advice to the commercial and consumer revenue teams on advertising and consumer marketing law and ensure the teams understand core legal, data privacy, IP, FTC and State AG consumer protection and auto-renewal laws and concepts that are relevant to their strategy and commercial decision making process.
Support the delivery of advice and training on regulatory issues related to advertising compliance, including issues related to election laws, vice advertising, pharmaceutical advertising and other regulated areas/industries.
Work with colleagues to interpret and advise on Conde Nast’s Global Advertising Guidelines and their application to specific proposed campaigns.
Work closely with our Data Privacy lawyers on issues relating to data use.
Support the development of best practice approach to advertising and marketing law issues across the commercial team, and to marketing and consumer protection law issues across the consumer revenue teams, so as to ensure efficient and cost effective legal service delivery.
SKILLS AND EXPERIENCE
Legally qualified in the U.S. with ideally 2-4 years minimum relevant experience. Intellectual property experience and/or experience negotiating and drafting talent and/or model agreements is preferred.
Ability to present legal advice in a pragmatic, problem solving and commercial fashion.
Confident, self starter with superb attention to detail.
Positive “can do” attitude and willingness to work flexibly and as part of a new and evolving team that is itself operating in a business and sector going through change.

The expected base salary range for this position is from $137,000 - $155,000 Salary offers are based on a wide range of factors including but not limited to relevant skills, training, experience, and education.
