Legal Counsel, Texture & Healthful Solutions Germany & EMEA

The Legal Counsel. Texture & Healthful Solutions Germany & EMEA will be an experienced commercial attorney, who is a lawyer and leader experienced and effective in working cross-functionally and strategically as part of a Europe, Middle East and Africa (“EMEA”) business, as well as an experienced German counsel capable of directly managing a broad spectrum of German legal and governance work.  You will be inspired by our legal department’s vision to be strategic business partners that advance the strategy and protect the company. Reporting to the VP and General Counsel, Texture & Healthful Solutions APAC & EMEA, and PureCircle (“GC APAC & EMEA”, based in Singapore), you will act as legal business partner to the EMEA Leadership Team, as well as lead counsel to our German operations and business headquarters, enabling high performance with integrity across the EMEA Texture and Healthful Solutions (T&HS) operating segment of Ingredion.

Core Responsibilities: (list in order of critical deliverables)

Legal Counsel – provide day-to-day, proactive and strategic legal advice to senior EMEA management and the EMEA business functions (Commercial, HR, Procurement and Supply Chain, Manufacturing and Operations, Regulatory, as well as other business functions) regarding legal and compliance matters in line with Ingredion Global Legal, Business Integrity and Government Affairs (GLBG) policies and practices and appropriate risk analysis across the EMEA T&HS operating segment. Ensure delivery of timely, effective legal solutions in a fluid environment helping to create a sustainable competitive edge for Ingredion.

Merger & Acquisition (M&A) Support – working with the Associate General Counsel M&A (based in Westchester, IL global corporate headquarters), support and help execute legal strategy for M&A activity in the EMEA T&HS operating segment, as may be required from time to time, enabling acquisition projects and/or alliances while safeguarding Ingredion’s interests in an appropriate manner.

Legal Project Support – support the development and roll out of the global GLBG projects in the EMEA region (such as the contract lifecycle management tool) and provide strategic legal support to complex business projects, including to Ingredion’s commercial, finance, accounting, and tax functions at the affiliate and corporate level across EMEA.

Outside Counsel – where applicable, manage outside counsel including supervision of legal work to ensure effectiveness and alignment with Company objectives and the GLBG vision and mission.

Global Legal, Business Integrity & Government Affairs – actively participate as a member of the Global Legal, Business Integrity and Government Affairs (GLBG) team, which works together to create value for Ingredion by driving outcomes that advance the Company’s strategy and protect our people, places, and things, collaborating with other EMEA-based and global GLBG peers, including supporting the delivery of Business Integrity and Government Affairs strategy in EMEA.

Qualified candidates will have:

Juris Doctor (JD) or equivalent degree.

Min. 8 years legal experience in a firm or preferably in a multinational corporation serving a European, EMEA or broader business organization, and including direct German legal experience and knowledge.

Deep functional knowledge of commercial law at German, European/international levels; German governance, administrative, employment/labor law and regulation; US securities regulations and MNC considerations; international anti-corruption and bribery legislation, including the US Foreign Corrupt Practices Act and the UK Bribery Act; local and applicable regional and international antitrust/fair competition laws.

Demonstrated strategic thinking coupled with a high level of detail-orientation and organisation, with the ability to see the big picture and manage multiple projects simultaneously.

Strong leadership skills and proven business acumen, demonstrated learning agility. Think and act as a business partner with a customer first mindset that anticipates and balances risk -based business decisions while advancing the Company strategy.

Proven ability to work independently and collaboratively as part of a cross-functional team; project management skills a plus.

Excellent English and German written and verbal communication skills
