Job Title: Junior Legal Counsel

Location: Shanghai

The job

Key responsibilities

Review, draft, and negotiate a variety of contractual agreements in a fast-paced corporate environment, including but not limited to sales contracts, procurement contracts, NDAs, and request for proposals

Act as a knowledgeable and relevant advisor on legal and commercial risks associated with transactions, including compliance, financial, operational, and reputational risks, ensuring alignment with company policies and regulatory requirements.

Collaborate with internal and external legal teams, including cross-departmental and cross-regional counsels, to support the negotiation and execution of complex contracts and deal structures

Act as the chop administrator, ensuring secure storage, proper usage, and accurate record-keeping of company chops in compliance with internal policies and regulatory requirements

Liaise with the contract management team and other departments, including finance, sales, procurement, marketing, external counsel, and relevant authorities, to provide legal support, ensure compliance, and facilitate smooth contract execution

Support corporate business projects and initiatives by conducting legal due diligence, drafting and reviewing contracts, and ensuring compliance with applicable laws and regulations

Conduct legal research and provide updates on changes to applicable laws and regulations, with a focus on areas such as labor law, data protection, IP, and industry-specific regulations

Other matters as assigned by manager and support to legal team as required

Essential requirements

Law degree from a recognized university and qualified to China bar

3-5 legal related working experience after graduation, software industry experience preferred.

Ability to identify, analyses and form his/her own opinion on various legal issues and matters and offer practical and pragmatic advice to the business

Ability to work to timescales and independently prioritize and manage workload.

Strong attention to details

Excellent written and verbal communication skills and ability to work effectively in a team

Solid computer skills: Proficient in MS Office Suite

Fluent in written English and Chinese

Desired skills

Ability to manage multiple tasks simultaneously and efficiently.

Enjoys improving standards and processes in a fast-growing customer-oriented business environment.

Excellent organizational skills
