About the Role
Join us as Legal Counsel at AIA Investment Management!We are seeking for a Legal Counsel to join our team to provide Legal, Company Secretarial (“Co Sec”) and Governance support to AIAIM, AIA Investment Management Holding Company Private Limited (“Holdco”) and subsidiaries and investee companies of HoldCo, as well as to AIA Investment Funds (“AIAIF”), AIA Variable Capital Company (“AIA VCC”) and any other AIA Collective Investment Schemes (collectively referred to as “AIA CISs”) generally.
Responsibilities
Legal
Provide legal support to AIAIM, HoldCo and AIA CISs which includes but is not limited to drafting, reviewing and negotiating agreements (in particular, investment management agreements and investment agreements), contracts and other documents, side-letters, letters of authorisations with clients which are AIA entities, external vendors, service providers and counterparties as well as AIA entities, including non-disclosure agreements, service provider/vendor contracts, inter-company agreements, dealing services agreements, amendment agreements, termination letters, statements of worksAdvise /support/ report on contentious/ potentially contentious matters/proceedings/disputes including attendance at tribunals/dispute forums relating to AIAIM, HoldCo and AIA CISsManage the legal risk of AIAIM, HoldCo and AIA CISs Provide or procure legal advice to the stakeholders when required including interpreting laws applicable to AIAIM, HoldCo and AIA CISsSupport AIAIM, HoldCo and AIA CISs in connection with any acquisition/divestment or restructuring of its subsidiaries or investee companiesProvide commercially practicable legal solutions to legal issues faced by AIAIM, HoldCo and AIA CISsManaging outside counsel including procuring advice, coordinating with internal stakeholders, evaluating the quality and cost of services of outside counselMaintain or procure the maintenance of the contract register to systematically and comprehensively catalogue all contracts entered into by AIAIM, HoldCo and AIA CISsSupport any automation initiative relating to the legal and company secretarial functionCompany Secretarial and Board Support:
Provide Co Sec and Board support for AIAIM, HoldCo and AIA CISs including meeting logistics, recording minutes, drafting Board papers, Agenda, reporting on board actions, maintain or procure the maintenance of key corporate documents and records, ensure that all corporate disclosure requirements are met and logged, comply with annual Board plan and other governance requirements, manage meeting schedules in a timely manner, procure compliance with annual filings required under Companies ActProvide Co Sec support for AIAIM Executive Committee (“EXCO”) meetings including drafting Agenda, maintenance of repository of EXCO meeting papers and terms of reference, adherence with EXCO work schedule and collating papers from presenters/committees in a timely mannerProvide oversight of external Co Sec providers for AIAIM, HoldCo and AIA CISsProvide all required Co Sec assistance to subsidiaries of HoldCo and investee companies of HoldCo and AIA CISsSupport the drafting, review and finalization of circular resolutions and Board cover papers for directors’ resolutions in writing to be approved by AIAIM, HoldCo and AIA CISs boards Provide Co Sec information on AIAIM and HoldCo pursuant to requests from Group and internal stakeholders and external parties such as auditors, regulators, advisers etcConduct stringent prior quality review of Board papers, periodic Board Effectiveness Survey as well as identify, design and implement enhancements to ensure Board effectivenessTrain presenters on Board presentation Provide guidance to other asset management companies within AIA Group including but not limited to ensuring standardization of company secretarial and Board materialsRequirements
Degree in law and admitted to the Singapore barMinimum 6 years post qualification experienceCo Sec experience (in-house or in law firm)Asset management experience (inhouse or gained in private practice) or knowledge of the regulatory framework applicable to Capital Markets Services Licence holders for fund management and dealing in capital markets products a plusExcellent organizational, interpersonal, presentation and communication skillsKeen attention to detail and as a self starterAbility to handle multiple tasks and competing prioritiesAbility to anticipate and plan in advance Good work attitude and ability to work with stakeholders as well as in teamsBelieve in better with AIA.
