To prepare and keep the register of directors of the company, the notice-calling and minutes of the Board meeting and annual report of the company and the notice-calling and minutes of the Shareholders meeting; To keep a report on conflicts of interest filed by directors and executives. To perform any function as specified by the securities law; To assure the Annual Report and all related forms i.e. 56-1, 56-2 and 56-3 are in legal compliance and requirement; and To prepare and lodge reports and filings to SEC, SET, MOC, etc Management of all activities as they relate to being the Corporate Company Secretary for GYT including management of all Board activities.\Legal Advisor - Thailand

To ensure the best interest of the company and the shareholders are met IN ORDER TO protect the shareholders’ interest To advice and counsel directors on their duties as directors regarding corporate governance IN ORDER TO be in line with rules and regulations and to avoid issues thereof To ensure that the board is complying with governance requirements and that board is best able to make wise decisions IN ORDER TO support Directors in making their decisions To attend all director meetings, audit committee meetings. As a key member of the Thailand leadership team provide counsel and guidance. To draft or review agreements, contracts, letters and other legal documents related to business operations of the company IN ORDER TO support business operation of the company and to avoid legal exposures and liabilities of the company To provide feedback, comments and options or alternatives to internal customers and to inform management on legal and contractual obligations in dealing with legal matters and agreements To prepare final draft of agreements/contracts after obtaining feedback from management and laising with Regional Legal as necessary, ensure that final draft has been reviewed and appproved by responsible management and Regional Legal, and obtain proper authorized signatories in order for documents to be legally executed by the Company To maintain an effective filing system for the execution version of legal Managing the execution version of legal documents in order to keep the duly signed documents for the company Providing constructive guidelines to management/associate in order to comply with laws and regulations in conjunction with commercial terms and Goodyear policies Interacting with the Regional Legal Team on all relevant in-country developments/initiatives involving legal / risk matters. Actively participating in Collaborative Bargaining Agreement and advising on labor matters in company’s operations. Leading legal negotiation on company’s contractual dispute with other party legal representative. Performing contract management and administrative based on the Global Contract Solution system (GCS). Manage and supervision of Thailand Third Party Due Diligence system (Securimate system As a legal representative of company to participate in Thai Automobile Tyre Manufacturer Association (TATMA) Provide legal support for TATMA as I am Chairman of the Board an all necessary government interfaces. Legal oversight if all contracts and obligations between GYT and third parties no matter what they are. Provide legal oversight for sales and marketing interface relationships with the Thailand dealer, distributor and channel partners. Providing accurate and timely counsel to executives in a variety of legal topics/matters e.g. international trade law, labor law, partnerships, international ventures, corporate finance etc. Drafting, reviewing, and solidifying agreements, contracts and other legal documents to ensure the company’s full legal rights Dealing with complex and international legal matters with multiple stakeholders and governmental authorities in Vietnam e.g. customs clearance audit, import/export law Research and evaluate multiple risk factors regarding business decisions and operations Applying effective risk management techniques and offer proactive advise on possible legal issues, both internal and external Team leading on government authority inspection and associated activities e.g. customs audit, tax audit. Manage and supervision of Vietnam Third Party Due Diligence system (Securimate system). Assuring the company’s operation to comply with policies, guidelines, compliance manuals of Goodyear Tires And Rubber Company, e.g. business code of conduct, antitrust compliance, office of the foreign assets control, foreign corrupt practices, etc; Leading the compliance training program upon mandatory requirement and benefit to management, employees e.g. business code of conduct, antitrust compliance, completion law etc.

Aviation Business Unit Support
To advise and provide legal services to Aviation business in AP region as needed.Taxes matter
To coordinate with GY Finance, external consultants, and Corporate Tax Department on determining optimized corporate tax structure and positions and on implementing tax optimization measures for the Company To assist the Company in approaching government agencies concerning tax incentives available to support and promote Company investments and projects To coordinate with Finance, external consultants, and Corporate Tax personnel on taxes matters of GY, and to defend, explain and settle tax matters with proper authorizations of the Company Team leading on government authority inspection and associated activities by Dawn Raid Guidelines e.g. customs audit, tax audit Determining corporate structure and supporting finance for tax measures to strengthen company tax position and to implement tax optimization measures of the companyBusiness permits and license
To monitor the extension or renewal of business permits and licenses obtained from the local government agencies e.g. factory license, BOI certificate, water work purchasing, sign board tax, property tax, land tax, public health license, import license, etc. IN ORDER TO ensure that the company has the rights to operate its business legally Provide continuous legal advice and necessary support for Thailand Board of Investment.Claims/Defense
To assist and represent the Company, in consultation with local legal Counsel and Regional Legal team, against claims made by third parties and enforce the rights of the Company against the third parties IN ORDER TO protect the interest of the CompanyIntellectual Property
To provide guidelines to management/associate in order to comply with laws and regulations relating to intellectual property rights and to educate Goodyear associates on the purpose of protecting the Company's rights related to IPRs
Compliance Officer:
To assure the company’s operations, as a subsidiary of the U.S. based Goodyear Tire & Rubber company, complies with local laws, rules and regulations e.g. Securities Act, Public Companies Act, the Board of Investment Act, the Foreign Business Act, the Factories Act, etc; To assure the company’s operations comply with policies, guidelines, compliance manuals of Goodyear Tires & Rubber Company, e.g. business code of conduct, antitrust compliance, Office of the Foreign Assets Control, Foreign Corrupt Practices, etc; To design and implement and/or administer the Company's compliance training programs necessary and benefit to management, employees e.g. business code of conduct, antitrust compliance, etc; and To conduct periodic meetings with Internal Control Compliance and Internal Audit teams for compliance awareness, preventive measure and control purpose Supervision on the company’s operational compliance with local laws, licensing, rules and regulations e.g. securities act, Public Companies Act, The Board Of Investment Act, The Foreign Business Act, The Factories Act, etc; Leading the compliance training program upon mandatory requirement and benefit to management, employees e.g. business code of conduct, antitrust compliance, etc. Holding a periodic meeting with internal audit team for compliance awareness, preventive measure and control purpose Lead extensive implementation and full understanding of the Business Conduct Manual and its compliance by all Associates. Be the 'lightning rod' for all Associates on any compliance or legal issues
Qualifications:
Holds a degree in law and a professional legal qualification. At least 5 years working experiences in the field of legal affairs or compliance matters, preferably with a Thai publicly listed company. Experience working for a multi-national company, preferably within manufacturing industry. Proven experience in general corporate and commercial issues in-house or in private practice. Possesses excellent legal and strategic judgment, coupled with strong business partnering and stakeholder management skills. Strong analytical skills, meticulous and a quick learner. Good team player and possesses a high level of integrity. Excellent written and verbal communication skills. Business organization law, SET/SEC law, good governance, customs law, product liability law, labor law, taxation, BOI law, trade competition, US OFAC, US FCPA, US Export control, US embargo, business code of conduct, contract law, factories law, data protection law, financial and accounting basic, foreign business act, WTO, international agreement, etc. Deep understanding of sale and marketing strategy, internal control and compliance policy, other practices in respect to the business operation of the company.
