Position:Legal Counsel Director
Job Description:

Arrow Electronics is looking for an accomplished corporate attorney to join our Legal team responsible for securities and corporate governance matters as Legal Counsel Director. You will be a key part of the team responsible for SEC reporting, Board management, and other public company matters, reporting to the Vice President, Legal Affairs and Assistant Secretary.

What You'll Be Doing:

Assist in preparation of all Securities and Exchange Commission (SEC) filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.

Provide analysis and legal advice on a variety of matters related to federal securities laws and New York Stock Exchange (NYSE) listing standards, monitoring developments to ensure continued compliance.

Prepare materials for meetings of Arrow’s Board of Directors and its committees, including resolutions, presentations, memoranda, etc.

Advise executive leadership and the Board on corporate governance and public disclosure requirements and best practices.

Provide legal advice related to investor relations issues, including reviewing earnings materials and investor communications.

Provide guidance on equity administration, including insider trading and Section 16 compliance, working closely with the equity compensation team.

Develop, implement, and continually update internal policies, procedures, playbooks and training programs relating to compliance with securities laws and to corporate governance best practices.

Assist other Legal team members and the Treasury function with corporate finance transactions, including bond offerings, securitization facilities, and other banking arrangements.

Advise on matters related to corporate stewardship and impact.

Handle other legal matters as appropriate.

What We Are Looking For:

Juris Doctor degree from an accredited law school and admission to a state bar.

Extensive experience drafting and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements, and providing legal counsel on securities laws and corporate governance matters.

Strong knowledge of SEC regulations, NYSE listing standards, and other public company considerations and best practices.

Experience advising on investor relations and equity compensation issues.

Demonstrated ability to advise on public securities offerings, debt transactions, and related regulatory filings.

Prior in-house experience preferred.

Strong analytical, problem-solving, and communication skills.

Ability to work collaboratively across teams and global regions.

Proven ability to develop policies and tools to improve legal department efficiencies and facilitate legal compliance.

Work Arrangement:

Hybrid: Tuesday, Wednesday, Thursday required office days; Monday, Friday-work from home.

Annual Hiring Range/Hourly Rate:$157,500.00 - $248,875.00

Actual compensation offer to candidate may vary from posted hiring range based upon geographic location, work experience, education, and/or skill level. The pay ratio between base pay and target incentive (if applicable) will be finalized at offer.
