JOB MAIN PURPOSE:

 

The main purpose of the role is to serve as a full member of customer facing teams, product or technical Teams functional leadership team(s) covering Indonesia country and/or Indonesia-Malaysia cluster level. He/ She will be responsible for providing full range of independent legal counsel, compliance (ICM), and LTO policy solutions in support of all Bayer business divisions, functions, and sites located in Indonesia and Malaysia but providing LPC BP support if/ when required to other ASEAN ad-hoc projects as mandated . He/ She further serves as second-line Compliance Business Partner and Data Privacy Officer for  Indonesia in the absence of ASEAN Senior Legal Counsel (Indonesia and/ or Malaysia Caretaker) protecting Bayer’s reputation and assets while minimizing exposure to risks.

YOUR ROLE & RESPONSIBILITIES:

As a Legal Business Partner, provides and effectively delivers clear agile, practical, and actionable legal & compliance risk assessment/ advice/ solutions/ recommendations, supporting across businesses, functions, and teams in relation to the interpretation of laws of relevance in the Indonesia and implementation of risk mitigation matters.Responsible for overseen, drafting, negotiating, and supporting various agreements and business transactions (even those re-directed by LPC Express or Contract Centre Teams as part of the LPC TOM) in respect of all levels of client engagements in Indonesia’ contracts (or ASEANZ region and/or global master agreements as the case may be). Support new business development initiatives and special/ ad-hoc projects (M&A, licensing, restructuring, divestiture transactions, strategic alliances, tender bidding processes, etc.) including due diligence reviews, negotiation of transaction and drafting/ execution of deal implementation, legal entity integration, and other.Expected to serve for special/ ad-hoc projects (i.e. M&A activities, including mergers, acquisitions, joint ventures and divestitures and drive legal entity integration, etc.) as ASEANZ LPC BP representative or independently contribute as a LPC BP member of cross-functional teams ;providing legal counsel to assigned projects and practice areas both regionally (ASEANZ) or in the Indonesia and/ or Malaysia as required.Help to coordinate deployment of LPC related Corporate Policies and new Code Of Conduct we as well as Integrated Compliance Management (ICM) programs and address License To Operate (LTO) legal issues ensuring compliance with regulatory and statutory obligations including in particular competition (anti-trust), anticorruption, data privacy, IFPMA Code Compliance, Biotech/ Seed laws, and digital (e-Commerce, Telemedicine, cybersecurity, AI, etc.) laws & regulations. Represent ASEANZ LPC at local Bayer’s Compliance Committee and when requested by ASEAN Head of LPC OR ASEANZ LPC Cluster Lead, liaise, interact, represent, and negotiate with Trade Associations and Government Authorities/ Agencies in these areas. Provide general legal & compliance (ICM) support and guidance to all entities and business units across in the Indonesia working closely with both APAC LPC Express and Contract Centre Teams. Provide training for the organization’s employees on substantive legal and compliance topics. Cooperating with LPCX on conducting internal investigations of compliance cases and steering implementation of Internal Audit Remediation plans.Provide to all Bayer Group legal entities in the Indonesia with Corporate Secretarial and Corporate Housekeeping support, including internal restructuring and corporate governance projects as needed with particular reference to support for regional and/ or global initiatives (i.e. LE integration, creation of new LE, liquidation, JV, SPV, etc,)Provide advice and guidance to assigned internal clients on IP matters, in close cooperation with Bayer Global LPC Patent and Trademarks Teams (global and regional). Assist on brand protection initiatives including trademark support and counterfeit & stewardship market enforcement activities.Support all entities and business units across in the Indonesia in relation to the handling of all levels of legal claims and disputes. Manage outside counsel to ensure high quality, cost-effective legal support and representation.Take an active part in the activities underpinning the global objectives of Global LPC Community (i.e. DSO Champion, Influencer, Change Agent, Culture, etc.) through participation in global and/or cross regional working groups or committees.Actively lead and drive the exchange of best practices and knowledge transfer within ASEANZ LPC and across organizational boundaries. Expected to monitor and track legislations, regulations and public policies which may impact Bayer Group legal entities’ ability to operate in the Indonesia and/ or Malaysia, presenting the regulatory landscape, policy developments, and what action to take.Expected to research unique legal issues affecting the organization by identifying applicable laws, regulations, judicial decisions, and codes in the Indonesia.Support crisis management matters with management and government officials, lawmakers, and industry associations and partners

 

YOUR SKILLS & QUALIFICATIONS:

 

University degree, LLM, Masters, or equivalent from an accredited law school.Certified to practice law ideally for an ASEAN jurisdiction.Fluency in English (oral & written) is required in addition to the local ASEAN language.A minimum of 5 years of experience in legal and/or compliance, gained from progressively responsible positions, thereof at least 2 years in a law firm or the legal department.  Digital literacy (including basic understanding of IT tools and their application to facilitate legal counseling)Proven track record on delivering results. Able to work with cross-functional/ cross-border teams, under pressure and tight deadlines.Sounded experience with M&A, licensing partnerships, regulatory compliance, corporate governance, intellectual property, and/or data protection issues, including structure, diligence, contracting, and merger integration, as well as awareness of common risks in the Life Sciences industries. Strong interest in Life Sciences and ideally Digital Industries. Desired exposure to both technology and the law required.Travel as required
