Team/Role Overview:
The Legal Issuance Solutions team supports the Global Issuance businesses. The team works closely with the product structuring and trading desks in London, New York and Asia, providing essential partnership to the product lawyers supporting those desks, as well as to business management and, where applicable, sales teams. The team act as an important partner to provide advice and assistance at all stages of the structured product lifecycle, including assisting in the structuring of transactions, managing the trade execution process, advising on regulatory matters and drafting, reviewing and negotiating documentation of all types. The Legal Issuance Solutions team is responsible for managing high volume, fast ‘flow’ issuance and assisting with maintenance of Citi's structured debt issuance programmes, negotiating distribution agreements, advising the business on relevant legal and regulatory issues, and automation initiatives. As the business operates on a global basis, the role involves direct responsibility for transactions in Europe and regular contact with colleagues in the US and Asia.
What you’ll do:
The role involves providing transaction management support for the Issuance businesses in connection with structured products activity globally. The responsibilities of the team include the maintenance of a number of structured debt issuance programmes (including Citi balance sheet issuers and Special Purpose Vehicles); management of product issuance; advising on legal and regulatory requirements; and assisting the business in product innovation, strategic initiatives and technology projects.
Have direct contact with the sales teams and structuring/packaging desks on a day-to-day basisBuild relationships with key business partners, internal legal colleagues and external counselBe responsible for the management of a number of transactions at any one timeDraft, review and analyse the legal documentation for Structured Products originated by the Equities, Rates and Global Spread Products businessesBe involved in managing and documenting product life cycle events, such as unwinds, amendments and restructuringsNegotiate, draft and advise on Distribution Agreements governing the relationship between Citi and third party distributors of Citi Structured ProductsWork on document templating and automation projects to improve existing processes and procedures and create efficiencies, including by embracing technology solutions
