The Legal Project Manager oversees and carries out duties related to Board of Directors meetings, and governance and stock award recordkeeping; state-by-state corporate maintenance; corporate compliance and compliance initiatives; and contract and lease administration.  The Legal Project Manager regularly engages with outside legal counsel to ensure timely communications, information delivery, timeline adherence, and legal matter management.

Responsibilities

Essential Duties and Responsibilities

 

Board Governance

Prepare board books for corporate governance complianceAssist with drafting Board of Directors and Board Committee minutes, maintain Board document repository and complete other Board projectsSupport analysis of ISS governance score and related initiativesManage stock award drafting, dissemination, and retention, working closely with the Controller

Contract and Lease Administration

Review, evaluate, and propose modifications to NDAs, SOWs, inbound software licenses, LOIs, amendments, MSAs, and sales and vendor agreements, with attorney supervision as appropriateCoordinate and oversee the contract pipeline and workflow as well as drive the contract signature processOrganize Legal Department files, administer the contracts management system, and identify ways to enhance and make more efficient the contract management process Maintain standard agreement templates and contracting policiesTrack contractual compliance, create and maintain standard contract templates, and support related cross-functional operations and sales projects

Mergers and Acquisitions

Serve as a member of the acquisitions team and coordinate with outside legal counselAnalyze due diligenceSupport legal post-acquisition integration activities

Other

Coordinate and maintain applicable business license and state registrationsIdentify and support corporate compliance initiativesServe as contact with insurance broker, issue necessary certificates of insurance, and work with Controller regarding insurance coverage and programAdditional duties as required Qualifications

 

Required Knowledge, Skills, and Abilities

Education and Experience

RequiredBachelor’s degree from four-year college or university in Business Administration, law or prelaw, or four to five years of related experience, or the equivalent combination of education and experience requiredMinimum three years’ experience in a law firm, in-house legal department, or analogous business position in a corporate setting, for candidates without a J.D.; two years for candidates with a J.D.Minimum two years’ experience reviewing, assessing, and revising commercial contracts (preferably with Fortune 500 companies)PreferredExperience with the M&A process, including due diligenceExperience with publicly traded board governance obligations and best practices Working knowledge of stock award and granting processes and required recordkeeping
