**Scope/Purpose of Position:**
The purposes of this role reporting to the VP, Securities & Governance, Corporate Secretary, is to manage and maintain crucial financial data, ensuring its accuracy and integrity. This includes tracking daily stock prices, creating and filing SEC forms, tracking and managing equity grants, and reconciling share distributions. The individual will also be responsible for providing support to Section 16 Officers and Directors, assisting in NYSE reporting, and aiding in the preparation of various financial reports.
**Roles & Responsibilities:**
+ Track and report daily stock prices, SEC Forms, and other financial data.
+ Maintain SEC EDGAR codes and Section 16 Officers and Directors list.
+ Perform ongoing review and maintenance of the Trading Window List and track trading windows.
+ Execute continuous share reconciliation and reconciliation of weekly capital activity reports.
+ Process all equity grants, releases/vestings, and cancellations.
+ Prepare and manage documents for onboarding new Section 16 Officers and Directors.
+ Work with the Executive Compensation team to prepare and distribute Director quarterly statements.
+ Provide various monthly equity reports to Finance and quarterly reports for 10Q and 10K filings.
+ Assist in NYSE reporting, including dividend declarations, press releases, and annual meeting dates.
+ Maintain and process Director fees, dividends, and expenses.
+ Support preparation of the Proxy Statement, including preparation and management of Director and Officer questionnaires, data collection, and document review.
+ Support the Annual Meeting process, including preparation of draft vote presentations, scripts, and meeting minutes.
+ Collaborate with Investor Relations to maintain Corporate Governance information and updated Board bios on the company website.
**Required Skills:**
+ Strong data management skills with hyper attention to detail.
+ Competency with Microsoft Excel.
+ Experience in managing important confidential corporate data.
+ Willingness to learn the importance and intricacies of financial data.
+ Ability to work with various teams including Executive Compensation, Investor Relations, and UBS on process and product improvements.
**Required Education:**
Bachelor’s degree/equivalent education, or equivalent work experience
**Required Years & Area of Experience:**
+ 6+ years prior experience in Finance, Shared Services, Accounting, Compensation, Benefits or related field handling and maintaining important confidential data.
+ Experience in working with SEC forms, equity grants, reconciliation of shares, and other financial data is a plus.
**Travel:** Negligible

The range for this position is $86,852.00 - $119,422.00 assuming full time status. Starting pay for the successful applicant is dependent on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education. The benefits available for this position are dependent on hours worked and may include medical, dental, vision, 401(k) plan, pension plan, life insurance coverage, disability benefits, and PTO.
