About The Role

We are seeking an M&A Project Manager / Paralegal to join our legal team. This role will support our M&A attorneys in executing mergers and acquisitions efficiently and effectively and oversee related cross-functional projects. An ideal candidate will have excellent organizational and project management skills, attention to detail, the ability to work independently and proactively, and experience in mergers and acquisitions within the technology sector.

This is an in-office position based out of our San Jose, CA office, but we may consider remote candidates.

Key Responsibilities

Support M&A attorneys throughout all stages of cross-border transactions, including due diligence, document preparation, closing and post-closing.

Lead the development of comprehensive M&A frameworks and work processes, such as playbooks, templates, and checklists, and implement these processes into future transactions.

Assist in preparation and review of transaction-related documents, such as NDAs, due diligence reports, ancillary documents, transaction consents, regulatory filings and KYC requests.

Manage the due diligence process by identifying outstanding requests, tracking due diligence issues, and compiling reports through signing, closing, and integration.

Partner with internal stakeholders (such as finance, HR, tax, corporate development, IT, operations, legal and integration) and external advisors throughout transactions, with a focus on coordinating diligence and internal deliverables during integration.

Maintain and organize transaction files, closing sets, and precedent trackers.

Support the legal team with post-closing corporate governance matters such as charter amendments and governance changes for acquired entities.

Provide regular updates and reports to senior legal team members on the status of M&A projects.

Assist with special projects as needed.

Minimum Qualifications

Bachelor's degree.

At least 5 years of experience as a paralegal and/or project manager in a law firm or in-house legal department, preferably within the technology sector.

Understanding of M&A processes and corporate governance.

Strong attention to detail and organizational skills.

Ability to manage multiple projects concurrently.

Be comfortable proactively identifying and creatively resolving issues with minimal guidance.

High degree of professionalism and discretion in handling confidential information.

Sound judgment for when to escalate issues to supervisor.

Proficiency in Microsoft Office Suite and project management tools.

Preferred Qualifications

Paralegal certification from an ABA-approved program.

Experience with international transactions and cross-border M&A.

Familiarity with securities laws and compliance matters.

The annual salary range for California is $126,000 to $234,000. You may also be eligible to receive incentive compensation: bonus, equity, and benefits. Sales positions generally offer a competitive On Target Earnings (OTE) incentive compensation structure. Please note that the salary range is a guideline and compensation may vary based on factors such as qualifications, skill level, competencies and work location.
