Your mission, roles and responsibilitiesM&A Group Tax Manager
Reporting directly to the Global Tax and Customs Vice-President of FORVIA,
Key Responsibilities:
1. Tax Structuring and Planning:
o Advising on the most tax-efficient structure for a deal (asset purchase vs. share purchase).
o Working on cross-border tax planning if the deal involves international entities.
o Identifying potential tax issues related to capital gains, transfer pricing, VAT/GST, and withholding taxes.
o Helping with the due diligence process to identify potential tax risks.
2. Due Diligence:
o Reviewing the target company's tax compliance and historical tax positions.
o Identifying any tax liabilities, tax credits, tax-loss carryforwards, and tax positions that could impact the deal.
o Assessing the impact of any tax loss carryforwards or other beneficial tax attributes.
3. Negotiation and Documentation:
o Supporting negotiations on tax terms, such as indemnities, escrows, and purchase price adjustments.
o Drafting tax-related provisions in the transaction documents (e.g., purchase agreements, tax covenants).
o Ensuring compliance with tax reporting obligations post-deal.
4. Post-Transaction Integration:
o Helping integrate tax structures post-acquisition, ensuring that any changes to the tax structure or jurisdiction are beneficial.
o Overseeing the filing of tax returns related to the transaction.
5. Cross-Functional Collaboration:
o Working closely with corporate finance teams, legal departments, and external tax advisors (e.g., legal tax counsel).
Skills and Qualifications:
• Education: Tax law degree completed with a focus on international taxes and additional accounting/finance degree
• Experience: Experience in corporate tax, particularly with mergers and acquisitions, tax compliance, and tax planning with a +10 years of professional experience in a large international corporation or as senior manager in a tax consulting firm/big4.
• Problem-Solving and Analytical Skills: Ability to identify tax-related issues in complex deals and suggest appropriate solutions.
