Diageo’s Global Business Operations (GBO) is a multi-functional shared service centre that supports standard processes and systems with effective and efficient shared services across Diageo.  

  

The shared services model currently supports Diageo Markets across the globe and is responsible for Data, Financial Control, Source to Pay, End to End Commercial and HR. It also encompasses a significant part of the group’s Financial Planning and Reporting and Treasury activities (Accounting, Control and Performance). Shared services locations include Budapest, Bangalore, Bogota and Manila.  

  

In keeping with Diageo’s shared service model, the KYBP Legal Practice (KLP) has been established for the purpose of carrying out the legal due diligence for the company in its customer and vendor onboarding. Prior to the KLP, each Market carried out its own legal due diligence.   

  

As part of Diageo’s statutory regulatory compliance obligations (and in keeping with the company’s ethical standards), the company is required to ensure that it does business only with third parties that are ethical and adhere to the same standards as we do have. All potential business partners must therefore be assessed under the principle of KYBP (know your business partner) and must pass our KYBP checks prior to onboarding or doing business with that partner. These functions have traditionally been carried out by each of the markets in the company.     

      

Under the aegis of the Business Integrity legal team, a new KLP will be responsible for carrying out the legal due diligence for the whole of Diageo, thus acting as a centre of excellence in legal due diligence.       

Purpose of the role: 

The role will be responsible for carrying out legal due diligence in relation to customer onboarding as well as provide legal due diligence support for the TPRM vendor onboarding function and the few non-TPRM markets.  

  

The lawyer will be primarily responsible for due diligence requests from across Diageo, but with a focus on our South East Asia markets. They will be expected to support the KLP with other queries as necessary.  

  

Reporting to the Lead Lawyer, KLP  

Key Duties and Responsibilities:  

Evaluate the information on business partners which have been assessed as potential high risk or medium risk (if required) as per risk assessment scoring to identify any potential legal non-compliance risk   Where potential red flags have been identified, advise, recommend risk mitigation plans and oversee potential remediation actions, where possible   After full investigation approve business partner and advise RO (relationship officer) can proceed to final onboarding  Working with the relationship owners (RO) (where necessary) create a clear time bound action plan for each business partner which has been identified as high risk requiring mitigation plans, approved by Legal.  Ensure continuous monitoring of red-flagged third parties and ensure that all outstanding documentation and information is provided   In relation to Worldcheck high risk partners, review issues and advise and work with the RO and  vendor/customer screening team to carry out further investigations as required in order to reach a go or no-go decision.  Engage with the local legal teams where further deliberations or clarifications needed  

  

Leadership Responsibilities & Capabilities  

The postholder will be expected to develop relationships with Market lawyers and the KYBP teams and collaborate as required in order to expedite investigations   The postholder will be expected to work with all stakeholders and partners globally.  Support to design/update the process/policies, conduct trainings/workshops as necessary in order to facilitate knowledge sharing across markets  Maintain the performance management of operations and continued performance against agreed KPIs and measurements  Ensure delivery of KLP activities are in line with relevant legislation and internal policies and procedures  

Knowledge Sharing  

  

Support the repository of legal exceptions in decisions made by the KLP  Retain knowledge of precedents in difficult judgments to ensure consistent interpretation of standard decisions  Keep abreast of changes to applicable legislation, rules and internal policies and apply them accordingly   

Qualifications and Experience Required  

- Qualified lawyer with PQE of 6+ years.  

- Generalist role in a law firm or in-house with an IT knowledge and due diligence experience  

Fluency in English; working knowledge of Indonesian and/or Vietnamese strongly preferred 

Success Criteria   

The postholder will be required to contribute to Diageo’s bottom line by ensuring that all legal due diligence enquiries are carried out in a timely and efficient manner, with the ultimate aim being to ensure speedy and legally-sound onboarding of customers and vendors.

Analyse information and data and extract relevant information  Understand nuances in legal requirements of applicable jurisdictions   Apply company’s policies and legislative provisions to an issue at hand in order to protect the company’s interests

Experienced in conducting investigations using technology tools  Work as part of a team as  well as independently   Manage own caseload and ensure follow-up of enquiries to process matter to timely conclusion   Work with legal or other teams as required, based in different geographies   Full professional proficiency in English, Spanish and Portuguese
