Your role on the team: 

Analyzes Legal Department workflows to identify and propose efficiency improvements, and manages the implementation of process improvement projects Evaluates, proposes, and seeks alignment on proposed Legal Operations software tools by demonstrating efficiencies and ROI Manages implementation of Legal Operations software tools, including coordination of internal and external resources Operates as administrator for Legal Operations software tools, such as matter management, contract management, and ESI systems Tracks and reports Legal Department KPI’s and other reporting as requested, including dashboard creation and management using Power BI or similar tools. Assists Attorneys in drafting, analyzing and negotiating a wide range of contracts and agreements Investigates facts and prepares legal documents Audits and prepares the company’s state registrations through the filing of annual reports and surveys Maintains an effective monitoring system for state registrations, business and other types of company licenses Liaisons with internal and external counsel on domestic and international subsidiary changes or shareholder issues Obtains subsidiary information from appropriate Secretary of State or foreign agencies (certificate of incorporation, good standing certificates, apostille, authentication by foreign embassies, etc.); reviews for accuracy and routes for signature documents received from various sources Provides subsidiary information upon request as required and maintains database for tracking Completes and files miscellaneous requests from federal, state and local governmental units such as foreign bank account reporting and census reporting Liaisons with auditors to respond to requests for information and obtain written letter(s) from in-house counsel and appropriate outside counsel regarding pending or threatened litigation in conjunction with year-end audit reports or pending transactions Tracks formations, dissolutions and maintenance of legal entity organizational charts Tracks and files articles of incorporation; bylaws, statement of sole incorporator (naming directors), written action in lieu of organizational meeting minutes (naming officers, etc.), bank account resolutions, stock certificates Assembles corporate minute books and ensures corporate records are maintained in an orderly fashion for ease in accessing corporate information Other duties as required and assigned

What you need:

Bachelor’s degree from a 4-year college or university Minimum of 5 years of relevant work experience; or an equivalent combination of education and experience Knowledge of legal entity registrations and business license requirements Prior experience within a legal department or at a law firm preferred PC literate to include Microsoft Office products such as Word, Excel and Outlook
