**The Opportunity** Under the supervision of the Senior Paralegal, Corporate Services and Securities, the **Paralegal, Corporate Services** will be responsible for providing support primarily in corporate law and board and committee matters, as well as matters related to legal compliance, corporate governance, and mergers and acquisitions. **Responsibilities** Corporate Matters + Coordinating, along with other team members, corporate reorganizations, dividend payments, and any other intercompany transactions, and preparing necessary legal documents. + In collaboration with the WSP Global legal team and other regional teams, maintaining legal organizational charts and the master list of all organizational corporate changes, achieved through constant communication with regional teams, document review, and regular audits. + Assisting in preparing and filing documents in response to internal control document requests. + Managing a small number of portfolio companies owned by WSP Global Inc. (6 legal entities), including updating the global legal database Diligent Entities. + Reviewing minutes records and making recommendations in case of irregularities, both domestically and internationally, with the support of local legal advisors as needed. + Providing assistance on M&A transactions with corporate legal documents, including internal funds flow transactions. + Assisting in the preparation and organization of legal documents. + Conducting corporate legal research as needed. + Assisting in preparing various corporate documents for the legal department. + Perform related tasks. Board and Committee Matters + Filing of meeting material on Diligent Boards. + Follow-up with relevant team members on their meeting deliverables. + Follow-up on post-meeting action items. + Maintaining up-to-date the resource center on Diligent Boards. + Preparing Board and Committee meeting calendars. + Sending outlook meeting invites to board members and certain officers. + Supporting in the continuous improvement of processes and procedures. + Perform related tasks. **Required Qualifications** + High school diploma. + Minimum of 7 years of experience in relevant discipline or closely related role. + Working knowledge of legal principles and practices. + Detail oriented, strong problem-solving skills and ability to prioritize tasks effectively. + Excellent communication and interpersonal skills. + Ability to work independently and as part of a team in a fast-paced environment. + Competence in analytical techniques and modeling in tackling technical problems with some complexity. + Demonstrates excellence in providing high quality level technical performance within the state-of the-practice and innovative thinking when opportunities arise. + Demonstrates commitment to keeping up-to-date in legal knowledge of current and emerging practices. + Ability to contribute and interact well with others to produce high quality technical and professional deliverables. **Preferred Qualifications** + Associate's Degree.
