Description We are offering an exciting opportunity for a Paralegal in the Financial Services industry, situated in Emeryville, California. The successful candidate will play a critical role in our team, focusing on supporting corporate governance, SEC filings, and maintaining company records. Responsibilities: • Support the preparation and filing of SEC regulatory filings, including forms such as 10-Ks, 10-Qs, 8-Ks, and proxy statements. • Assist attorneys in maintaining corporate good standing and governance of entities. • Conduct legal research as needed and assist in responding to internal and external auditor requests. • Participate in government relations activities and monitor developments in industry regulatory working groups. • Assist in maintaining corporate governance, including preparation of board meeting minutes, agendas, and other meeting materials. • Support the preparation of Insurance Holding Company Act regulatory filings and other state insurance regulatory filings. • Monitor ongoing compliance with NASDAQ listing requirements. • Assist in the preparation of due diligence documents and responses for corporate transactions. • Monitor and report on new, or changes to existing, Federal and state laws and regulations that may impact the company or its business activities. • Support attorneys in the administration of the company’s equity incentive plans. Requirements • Bachelor's degree in Law, Finance, or a related field • Proven experience in a paralegal role within the Financial Services industry • Proficiency in SEC Financial Reporting and Securities Law • Familiarity with the Securities and Exchange Commission (SEC) procedures and regulations • In-depth knowledge of Securities Regulation and Public Company Reporting • Understanding of Corporate Governance principles and Regulatory Law • Experience in preparing and submitting Regulatory Filings and Regulatory Reporting • Ability to prepare and review forms such as Form 10-K, Form 10-Q, and Form 8-K • Experience in preparing Annual Proxy Statements and Proxy Statements • Excellent verbal and written communication skills • Strong organizational skills and meticulous attention to detail • Ability to work independently and as part of a team • Proficiency in using legal research software • High ethical standards and professional integrity.
