We are looking for a talented and ambitious Paralegal Compliance and M&A to join Wolters Kluwer’s global legal and compliance organization at the company’s corporate office.

About this role

In this role you will be a member of our Global Law and Compliance Department (GLCD) and support both the Ethics & Compliance team and the M&A team within the GLCD. Your main focus will be coordinating administrative processes and ensuring proper documentation. To be successful in this position, it is important that you are hands-on and highly organized. This position reports directly to the Compliance & Sustainability Director and has a functional reporting line to the Associate General Counsel, M&A. The Paralegal will work closely with both the EMEA M&A team and the divisional and functional lawyers on Corporate Compliance and EMEA M&A matters.

Your key responsibilities related to Corporate Compliance

Organize and maintain compliance policies, such as code of conduct and related policies, in the document management system;Manage the lifecycle of compliance policies, including ensuring periodic reviews and publication to internal and external audiences;Monitor the shared Ethics & Compliance team mailbox;Support with responding to questions and providing pre-approvals on ethics & compliance matters and maintain the registry of approvals;Assist with anti-bribery and anti-corruption third party due diligence;Assist with trade sanctions screening activities;Ensure the Ethics & Compliance information on the intranet and company website is kept up to date;Support the team with employee training and communication activities, such as creating training completion reports, keeping communication materials updated, and coordinating translations;Assist the Ethics & Compliance team with other matters as needed.

Your key responsibilities related to M&A

Conduct due diligence on potential transactions by reviewing corporate records, contracts, financials, and public filings of target companies;Assist with the management of closing checklists, document tracking, and ensuring completion of all closing conditions;Coordinate the execution and delivery of closing documents and manage post-closing matters;Organize and maintain electronic and physical transactional files, including managing virtual data rooms and ensuring secure handling of sensitive documents;Conduct UCC, lien, and other public record searches to support the legal team in evaluating potential risks;Prepare and file required corporate documents with government agencies;Serve as a key liaison between internal teams, outside counsel, and regulatory bodies, ensuring smooth and timely communication during transactions;Provide comprehensive support to attorneys in the preparation, review, and execution of M&A documents, including purchase agreements, ancillary agreements and other closing documents;Assist with general corporate governance matters and other paralegal duties as needed.

Your profile

Bachelor’s degree in Law, Finance, Business Administration, or another related field;Experience with negotiating NDAs is a plus;Excellent project management and organizational skills;Ability to interact with stakeholders at all levels, working both collaboratively and independently;Time management skills with the ability to prioritize tasks in a fast-paced environment;Strong attention to detail;Proficiency in document management systems, Microsoft Office (Word, Excel, PowerPoint) and SharePoint;Excellent communication skills in English and Dutch, both oral and written;High level of personal integrity, curiosity, humility, and good judgment.
