Project Manager (f/m/d) Deal Financials (Corporate M&A)

MAP M&A Deal Financials (DF) is responsible for the optimization of financial concepts for divestments / joint ventures. We are the financial experts for divestments and joint ventures who manage the preparation and coordination of business plans, historical financials, financial due diligence and closing purchase price mechanisms for all divestments and joint ventures within Siemens. Lately, we have been the key financial experts that have handled complex carve-out and spin-off transactions such as Siemens Energy, or M&A divestments such as the sale of Flender to Carlyle, from a financial perspective.
The Project Manager in DF is responsible for the professional analysis of historical financials and validation of business plans for divestments / joint ventures. The task includes managing a team of financial experts, internal (e.g. tax, accounting, pensions, transaction services etc.) as well as external experts (e.g. investment banks, Big 4 firms), and the operating business (e.g. Digital Industries, Smart Infrastructure, Mobility, POC, etc.), throughout the entire transaction phase from carve-out to closing. The Project Manager DF is furthermore responsible to revise and improve the overall deal financials process as well as be the key contact to the negotiation and M&A leads for the project for financial concepts such as working capital, equity bridge, purchase price mechanisms, capitalizations of the Target companies and preparation of financial due diligence.

What part will you play?You will be responsible for the analysis of historical P&L, balance sheet and cash flow in order to be able to validate a business plan prepared by the TargetYou will design and structure financial deal concepts from carve out to closing phase as well as document lessons learned from previous transactionsYou will assess the deal financial impact on Siemens financials during negotiations and upon closing (i.e. Siemens financial impact from de-consolidation of the business and booking of the divestment) You will perform sensitivity analyses and stress tests to determine an optimal capital structure and available cash which would be capitalized into the Target to ensure going concern attestation as part of the divestment before and on closingYou will ensure professional management of all internal and external stakeholders to successfully execute all activities needed for a divestment, from a financial perspective You will drive analysis of business plans and discussion with the management of the Target to be divested to understand parameters, adjustments required to achieve a standalone basis, obtain and verify all financials of the business to be divested and achieve validation from management before financial due diligence and lead the presentation of financials of the Target to potential investors and their advisors.You will support in preparing and reviewing closing statements and briefing of management, as well as pro-actively support the claim management team for instances where claims are made against the calculation of purchase prices or against any financial concept determined at signing / closing of the transaction
What you need to make real what matters.
You hold a university degree in Business Administration and/or with focus in Finance and Accounting 
You have long-term M&A transaction experience (+ 8 years) is requiredYou preferably have experience in corporate and operational functions (Germany and abroad), experience in P&L responsibility with different business models (project, software, product, service businesses etc.) or alternatively similar experiences in Big4 environment with preparation of financial statements and M&A transaction experienceYou have a proven track record in project management, controlling, accounting and contract negotiation experienceYou are experienced in leading teams of internal, external experts and managing input for M&A negotiation team and are familiar with an international business environment experienceYou have Excellent MS Office (Excel, PowerPoint) skills round off your profileYou have Fluent German and English skills, which are a prerequisite for this role
