MAP M&A Deal Financials (DF) is part of the M&A Deal Team for sell-side projects of the Siemens Group and therein responsible for the management of all deal related financial topics. Throughout the entire deal cycle, the team drives and is responsible for all deal related financial topics, such as feasibility study, transaction scoping, business plan and financial modeling and is an integral contributor to the project until Closing.
Our team works in close collaboration with the Senior Management of the target as well as various internal and external experts (including Investment Banks, Tax advisors, Legal professionals, Big4 consultants, Strategy consultants, etc.). We are the key financial experts that handle complex Carve-out and Spin-off transactions such as Siemens Energy, or M&A divestments such as the sale of Flender to Carlyle, Parcel to Körber and Yunex Traffic to Atlantia SpA. Our tasks include:Managing the comprehensive preparation of key materials for Financial Due Diligence (e.g., Fact Books and Financial Expert Sessions) supported by the in-house Transaction Support teamDriving the business plan preparation with target management, validating the key planning assumptions, and identifying all adjustments necessary to bring the plan to a standalone / valuation basisSteering and leading the preparation process of all financial analyses and materials presented to a potential buyer during a transaction processBeing responsible for all financial inputs to the contract negotiations in relation to the Enterprise Value to Equity value bridge, purchase price mechanism, purchase price allocation methodology, working capital definition, and indemnification conceptsDetermining the financial implications from divestments on the Siemens GroupSupporting the Carve-out process in financial matters (e.g., determination of internal valuations, deal structuring, evaluating the formation of subgroups and implementing the proper capital structure prior to change of control)
What part will you play?You coordinate teams consisting of internal and external experts and ensure the timely and quality delivery of all financial work packagesYou prepare analyses of business models, financial statements and coordinate the presentation of historical financials and business plans for potential investors (e.g., Financial Fact Book, Due Diligence Documents etc.) in collaboration with your teamYou support the evaluation and challenging of the business plan and analyze the key assumptions, technical correctness and consistency across all information provided to potential investors (e.g., Information Memorandum, Teaser, Virtual Data Room Documents etc.)You collaborate in preparing the financial information and analysis required to design financial deal concepts from Carve-out to ClosingYou participate in discussions with various experts solving a broad spectrum of complex M&A topics, e.g., selection of deal structure, subgroup structure, target capitalization, contractual structures for internal and external agreementsYou are part of the project team preparing key financial inputs for the sale agreement (for example EV-Equity bridge, Working Capital Definition, Deal Structuring, Purchase Price Allocation, Indemnification, Representations & Warranties, etc.)You contribute to presentations for Siemens Senior Management, serving as a basis for decision-making in M&A transactionsYou, together with your team, determine the deal financial impact of divestment projects for the Siemens Group on an up-to-date basisWhat you need to make real what matters.You hold a university degree in Business AdministrationYou have several years of experience working in Investment Banking, M&A Advisory, Transaction Services, Private Equity, or an M&A Department of a multinational corporationYou offer deep analytical and conceptual skills and approach complex financial topics in a structured and pragmatic mannerYou have a strong knowledge in corporate finance, valuation, financial modeling and IFRS AccountingYou are well organized, like to work in teams, and can complete own work packages independentlyYou have strong communication skills, team focus, and are agile to comfortably work in a highly dynamic and fast-moving environment where you take on responsibility early onExcellent MS Office (Excel, PowerPoint) skills are required.
