Senior Corporate Paralegal - Corporate Legal Department
*POSITION SUMMARY* This role is responsible for providing legal support and assistance to the Corporate Legal Department including the Sr. VP, General Counsel, the System VP, Associate General Counsel, and Chief Privacy Officer, and Staff Attorney as well as providing legal assistance across the IDN. *PRIMARY ACCOUNTABILITIES* 1. Reviews, revises, and negotiates simple and complex contractual agreements in conformance with company policies and procedures, and applicable federal, state and local regulations. 2. Drafts contracts, including, but not limited to, amendments, assignments, leases, termination letters, releases, and settlement agreements. 3. Coordinates and tracks incoming and outgoing contracts; maintains accurate records in document repository. 4. Supports real estate group in real property transactions; conducts preliminary review of contracts and prepares and records documents with appropriate agencies. 5. Provides litigation support including, but not limited to, collecting, organizing, redacting, and producing documents in response to all types of discovery requests, drafting and/or revising written responses to discovery requests, conducting interviews, preparing, and filing pleadings with appropriate court, drafting and issuing litigation holds, and maintaining litigation files. 6. Reviews and analyzes subpoenas, collects responsive documentation, drafts responses and objections to subpoenas, and tracks subpoena activity. 7. Provides guidance to associates across the IDN in proper service of and response to subpoenas including requests for records and notices of deposition; reviews powers of attorney and provides guidance to member enrollment services regarding validity, interpretation, and use. 8. Assists physicians and social workers in guardianship proceedings for incapacitated patients. 9. Reviews marketing materials to ensure accuracy of statements and proper use of trademarks and brand guidelines. 10. Serves as Administrator of Legal Tracker matter management system; opens, closes and maintains matters; reviews and approves legal invoices; research, troubleshoots and responds to inquiries and issues from matter management users. 11. Performs legal research and drafts legal memoranda. 12. Performs other duties as assigned by in-house counsel. *MINIMUM QUALIFICATIONS* * Education: Associate degree or equivalent combination of formal education, training and/or experience required. * Licensure: None required * Certification: Paralegal certificate. * Work Experience: o Minimum five (5) years of in-house corporate paralegal and/or large law firm experience required • Work Experience in lieu of o Education: Minimum seven (7) years of in-house corporate paralegal and/or large law firm experience required * Knowledge/Skills/Abilities: o Strong understanding of federal and state statutes and regulations, litigation process, discovery rules, litigation hold and subpoena process o Understanding of the contract life cycle and basic contract terms o Ability to communicate effectively (written and verbal) with internal departments, senior leaders, external counsel and opposing parties in a helpful and professional manner o Ability to be proactive and to work both independently and as a team member. o Ability to multi-task and maintain composure in a high-volume office environment o Desire to produce consistent, high quality work product. o Ability to deal appropriately with sensitive and confidential information . o Proficient in Microsoft Office – Outlook, Word, Excel, PowerPoint. o Experience with matter management and e-billing systems preferred. *PREFERRED QUALIFICATIONS* * Education: Associate degree or higher in related area * Licensure: None * Certification: Paralegal certificate. * Work Experience: Minimum of seven (7) to ten (10) years of executive legal experience (five of which shall be in a healthcare environment). * Knowledge/Skills/Abilities: o Knowledge of court rules and procedures. o Federal and Florida statutes and regulations applicable to the healthcare industry. o Knowledge of general contract terms and conditions and legal terminology. o Heavy contract drafting and review experience. o Litigation experience. o Superb oral and written communication skills with the ability to communicate effectively with individuals of all levels. o Highly motivated and responsible self-starter with the ability to work with minimal supervision. *PHYSICAL REQUIREMENTS*Sedentary – Office Worker * Ability to sit at a computer for extended periods of time. * Manual hand and wrist dexterity. * Ability to operate office equipment and machines. * Walking and standing or lifting more than 10 pounds is required occasionally. * Ability to work extended hours based on project assignments. * Travel to other Health First locations may be required. *ABOUT HEALTH FIRST* At Health First, diversity and inclusion are essential for our continued growth and evolution.
