Purpose

Position Overview: We are seeking an experienced Senior Corporate Paralegal to join our legal team. The ideal candidate will have a strong background in corporate governance, entity management, and transactional support, ensuring compliance and efficiency in our corporate legal matters.

Responsibilities

The Senior Corporate Paralegal will provide a broad range of paralegal activities, including corporate entity management at both parent-company and subsidiary levels, preparation of stockholder and board of directors minutes and resolutions, contract database administration, legal budgeting and tracking, legal entity management, legal project management, with limited supervision. The Senior Corporate Paralegal is also responsible for supporting substantive projects under the direction of PerkinElmer attorneys.

Key Responsibilities:

Corporate Governance and Entity Management:Maintain and organize corporate records, governance documents, and minute books for the parent company and its subsidiaries.Prepare and file necessary documents for the formation, maintenance, and dissolution of entities across multiple jurisdictions.Ensure compliance with federal, state, and local regulations, including timely filing of annual reports and other required documentation.Organize and maintain hard copy and web-based subsidiary database and respond to related requests for information and data.Transactional Support:Assist attorneys in drafting and reviewing legal documents related to mergers, acquisitions, and other corporate transactions.Coordinate due diligence processes, including the organization and management of virtual data rooms.Prepare closing checklists, coordinate the execution of documents, and manage post-closing activities.Organize and maintain hard copy and web-based legal contracts database and respond to related requests for information and data.Compliance and Regulatory Filings:Monitor changes in laws and regulations affecting the company's operations and advise on necessary actions.Assist in the preparation and filing of regulatory documents, and other compliance-related submissions.Cross-Functional Collaboration:Liaise with internal departments, external counsel, and regulatory bodies to ensure seamless management of corporate legal matters.Provide guidance and support to various business units on corporate legal issues and compliance matters.Provide general and as-needed support to the legal operations function.

Basic QualificationsBachelor's degree in Legal Studies, Business Administration or a related field from an accredited college or university.ABA paralegal certification or equivalent practical experience.Minimum of 7 years of experience as a corporate paralegal, preferably in a corporate legal department or large law firm, performing sophisticated work.Extensive knowledge of corporate governance principles, laws, and regulations.Familiarity with federal, state and local forms and filing procedures.

Preferred Characteristics

Proficiency in managing corporate entities across multiple jurisdictions.Strong organizational and project management skills with excellent attention to detail.Ability to work independently and handle multiple tasks simultaneously.Proficiency in Microsoft Office Suite and legal research databases.Excellent written and verbal communication skills, including a clear and concise drafting style.

The annual compensation range for this full-time position is $77k to $100k. The final base pay offered to the successful candidate will be determined by factors including internal equity, work location, as well as individual qualifications, such as job-related skills, experience, and relevant education or training.
