I. Job Summary
The Sr. Legal Counsel – Securities & Governance position will be responsible for aspects of several key corporate legal functions, including compliance with SEC rules and regulations related to periodic reporting, insider transactions, registration statements, proxy statement and capital markets transactions; compliance with internal and external requirements relating to corporate governance and support of corporate secretarial, corporate structure and Board of Director functions; investor relations and communications legal support; and legal support of the Treasury function, including financing transactions. 

The position will be responsible for providing counsel and legal support in given areas, including direct responsibility for developing recommendations, drafting required legal documentation and advising clients.

The position will require coordination, teamwork and collaboration with Legal Department members, various internal groups, outside counsel and others. The position will support work across several interesting platforms at the WM.  This job has no supervisory duties but may occasionally act as a team lead and manage work of paralegals or attorneys.  However, the individual will not regularly have support from another in-house attorney and must be able to perform legal functions independently with minimal outside counsel assistance.

The Sr. Legal Counsel reports to the VP – Securities & Governance / Corporate Secretary and is located in Houston, Texas.

II. Essential Skills, Duties and Responsibilities
To perform this job successfully, an individual must have the skills and be able to satisfactorily perform the duties and responsibilities set forth below. Other minor duties and responsibilities may be assigned. 
 

Utilize expertise in SEC and NYSE rules and regulations applicable to periodic reporting, insider transactions (Section 16 reporting), registration statements, proxy statement, capital market transactions, external communications and investor relations.  Assist with review and drafting of disclosures and managing such transactions. Research and monitor SEC and NYSE legal and regulatory developments and advise on compliance and best practices. Assist with Corporate Secretarial functions, including Board meeting materials and preparations, Nominating & Governance Committee presentations, governing documents, charters and conduct of annual stockholder meeting. Assist with matters related to equity compensation, insider trading policy, trading windows/ restricted trading periods and executive trading plans. Provide legal support to the Treasury function, including with respect to financing transactions. Assist with oversight of records management function and related policies and procedures. Ability to provide proactive legal and practical business advice to internal clients. Interface with numerous departments and functions within the Company to work effectively and provide a high-level of service to our business partners. Other legal duties and responsibilities may be assigned to this role, and the individual must be open to learning new subject matters and handling an evolving set of responsibilities across diverse disciplines within WM; for example, the role could, at times, be asked to support legal facets of our sustainability businesses, M&A transactions or compliance initiatives.  

III. Supervisory Responsibilities
This job has no supervisory duties but may occasionally act as a team lead and manage work of less experienced attorneys.

A. Education and Experience
 

Education: Juris Doctorate Required; Current Bar Admission, Texas Preferred Experience: The position requires 8 years or more of securities, capital markets and public company corporate governance experience; will consider exceptions based on quality of experience, including sophisticated securities work in a top tier large law firm securities, capital markets and public company corporate governance experience; will consider exceptions based on quality of experience, including sophisticated securities work in a top tier large law firm  

B. Certificates, Licenses, Registrations or Other Requirements
 

State Bar Licensure.
