We are hiring a Senior Counsel to be an integral part of the legal team providing support to the Imaging Division (FNAC-ID) and Personalized Photo Products Group Division (FNAC-PPPG) of FUJIFILM North America Corporation (FNAC), a wholly-owned subsidiary of FUJIFILM Holdings America Corporation (HLUS). The Senior Counsel, reporting to the Division General Counsel, Business Innovation and Imaging, will be an experienced commercial transactions lawyer, responsible for working independently and collaboratively on legal issues affecting FNAC-ID and FNAC-PPPG to minimize risks of legal liability and ensure maximum legal rights of the company. The right candidate will be excited to join a growing company with a diverse portfolio of businesses. This attorney will be a senior legal resource and valued business partner to HLUS and FNAC.

Job Description

Responsibilities

 

Manage and support the day-to-day legal affairs of FNAC-ID and FNAC-PPPG under the general supervision and direction of Division General Counsel, acting in consultation and collaboration with Division General Counsel and as a core member of the Fujifilm in-house team providing legal services to the FNAC businesses.Manage outside counsel supporting FNAC-ID and FNAC-PPPG as assigned by the Division General Counsel.Coordinate and provide strategic legal advice to business partners with respect to a variety of legal matters affecting FNAC-ID and FNAC-PPPG, including commercial contracts, advertising and marketing issues, , competitor interactions, customer service inquiries and complaints, investigative matters, and other legal matters.Draft, review and negotiate a variety of complex commercial contracts, including with key customers, vendors, and suppliers.  Work with internal colleagues and outside counsel, when necessary, to handle a large volume of contracts to ensure agreements mitigate legal risk and support business objectives.Provide guidance on marketing and advertising materials, product packaging, licensing agreements, and promotional programs.  When necessary, collaborate with regional/global stakeholders on comparable requirements in other jurisdictions.Advise, counsel and report to Division General Counsel and senior business management on general legal and regulatory risks affecting FNAC-ID and FNAC-PPPG, including with respect to antitrust, product compliance, import/export regulations, or other applicable laws.Support policy review and administration of FNAC’s Unilateral Minimum Advertised Price (MAP) Policy and related MAP Administration Program, as assigned by Division General Counsel.Keep abreast of legislative and regulatory changes that may affect FNAC-ID and FNAC-PPPG.Provide training to FNAC-ID and FNAC-PPPG on substantive legal topics or other Legal Department initiatives relevant to the business.Contribute to, and help drive, the Legal Department’s commitment to continuous operational improvement and achievement of efficiency, consistency, and alignment of contracting practices and best-in-class contract terms across the Legal Department and the HLUS Group organization to support the evolving needs and business growth and expansion of HLUS Group companies. Perform other duties as assigned.

Required Skills/Education

Juris Doctor from accredited law school.  Academic honors preferred.Admitted to practice law and in good standing under the Bar of at least one U.S. state. Minimum 10+ years of relevant legal experience; in-house legal department experience with a large multinational corporation a plus.  Solid commercial contracts background with extensive drafting and negotiation experience in fast-paced business environment.Strong work ethic and ability to timely, effectively and autonomously manage multiple complex projects. Strong ability to work as part of an in-house team, and to collaborate with internal and external stakeholders to drive contracts and other legal projects to completion.Quickly grasps organizational objectives and applies them to commercial contracts or other work product in a way that is succinct and practical.Skill in providing strategic legal counsel in a complex business environment.  Strong ability to produce clear, concise, and professional written work product, including business communications with senior leadership.Adept at partnering across business divisions, functions, and geography, with a skill for engaging resources at all levels in projects and processes while continuing to own and drive them.Ability to manage outside counsel, junior-level counsel, contract managers, or non-attorney administrative staff.Ability to use, or quickly acquire skill necessary for using, legal technology platforms and applications such as Microsoft Office and Microsoft Teams, and Pramata contract management and Gen AI systems.Maintains professional demeanor, including when working under pressure.
