Senior Counsel - Global Sourcing
Job Description SummaryThe Senior Counsel, Global Sourcing will provide legal support and strategic legal advice to the Global Sourcing organization. You will manage complex legal issues, lead sourcing projects, and contribute to the overall development and fulfillment of the company’s sourcing strategy. In this role, you will be responsible for providing legal advice and guidance regarding a wide range of complex sourcing and commercial legal matters, including drafting and negotiation of commercial contracts, process development and implementation, deal structuring, transactional risk assessment and support, and training initiatives. Work location may include remote.

Job Description

Roles and Responsibilities:

Be an active business partner to Global Sourcing, providing ongoing legal advice to business and working with business to identify and mitigate commercial and legal risks while accelerating growth.

Provide legal analysis and support for various purchasing and sales transactions, including structuring, drafting, reviewing and negotiating domestic and international supply agreements, master service agreements, professional service agreements, software licenses and other agreements.

Research and develop standard contract forms, playbooks, fallback library and other processes and training to promote efficiency and speed when contracting.

Identify and provide guidance relating to regional, portfolio and transactional risks and risk mitigation.

Provide strategic and tactical advice, and manage  claims,  disputes,  and pre-litigation  arising  out  of  Sourcing  relationships.

Supervise outside counsel with controlled budget.

Identify and lead projects to support business and sourcing strategic initiatives.

Play a leadership role in working with local, regional and global teams.

Partner with senior leadership across Sourcing, Finance, Quality, Engineering, Controllership and Operations to provide strategic legal expertise and continuously improve legal support of strategies and initiatives.

Develop and deliver training on legal contract, process and compliance matters.

Required Qualifications:

Juris Doctorate from an accredited law school.

Admitted to practice and in good standing with at least one US State Bar.

Minimum of 7 years of business law experience at law firm or as in-house counsel, with a strong emphasis on procurement and/or sales transactions.

Substantial experience in drafting, negotiating and closing complex business transactions, including purchase and sale agreements, master services agreements, software licenses and other agreements.

Demonstrated experience identifying and resolving complex legal issues quickly and effectively.

Demonstrated experience prioritizing conflicting demands from multiple business clients in a fast-paced environment.

Commitment to integrity and professionalism.

Comfortable working in global organization and the complexity of working across cultures.

For U.S. based positions only, the pay range for this position is $168,960.00-$253,440.00 Annual. It is not typical for an individual to be hired at or near the top of the pay range and compensation decisions are dependent on the facts and circumstances of each case. The specific compensation offered to a candidate may be influenced by a variety of factors including skills, qualifications, experience and location. In addition, this position may also be eligible to earn performance based incentive compensation, which may include cash bonus(es) and/or long term incentives (LTI).
