FactSet is looking to recruit an attorney for its global in-house Legal Department. The Senior Counsel I will oversee and be part of the legal team based in Manila. The role represents an excellent opportunity for an ambitious and self-motivated lawyer who wishes to learn new skills, manage a group of legal professionals, and work as part of a global legal team at an international company.

The successful candidate will have support from the Manila Legal Team as well as the global Legal Department.

JOB RESPONSIBILITIES

Managing and supervising the legal team based in Manila, consisting currently of eight legal professionals.

Accomplishing legal team goals and developing legal team members’ skills and capabilities.

Completing work related to subject matter expertise in line with FactSet legal’s typical turnaround times and quality expectations.

Reviewing, negotiating, interpreting, executing, and administering agreements with FactSet’s clients, corporate vendors and strategic partners. Drafting and negotiating client and corporate vendor agreements including contribution agreements, corporate vendor agreements, client agreements and data vendor agreements covering areas such as software as a product, software as a service, platform as a service, infrastructure as a service, as well as non-disclosure agreements.

Interpreting contracts and advising the FactSet product, sales, and finance teams in respect of the rights and obligations of the parties.

Negotiating with international counterparties by correspondence and/or teleconferencing.

Delegating assignments to team members and creating growth opportunities.

Responsibility for maintenance and oversight of FactSet’s global legal corporate entity organization, including maintaining good standing, updating directors and officers, and keeping current an authorized signatories policy.

Overseeing a variety of legal matters in the AIPAC area, including in China and India, in conjunction with local colleagues and/or outside counsel. Assisting with AIPAC employment issues and investigations. Data protection responsibilities for the AIPAC region.

Participating in enterprise-wide strategic planning and projects, risk assessments and presentations.

Achieving FactSet goals and strategic initiatives in a legally compliant and effective manner.

Make recommendations to the Legal Leadership Team and others with an expert understanding of FactSet’s risk profile and overall strategy.

Liaising with finance, marketing, information security, compliance, and human resources to ensure an enterprise-wide approach in risk management and compliance with common standards.

Communicating and working collaboratively across multiple teams as well as providing general support to the FactSet legal team globally.

Overseeing external counsel in collaboration with the Legal leadership team.

JOB REQUIREMENTS

Minimum of 10 to 12 years’ experience at a law firm and/or in-house as a licensed, practicing attorney, with general commercial and corporate experience including reviewing and drafting commercial contracts. Experience in any of the areas of mergers and acquisitions, software licensing, intellectual property and/or technology is a plus.

Undergraduate and J.D. degrees from recognized institutions; top academic credentials required.

Must be a member in good standing of the bar.

Must have sufficient experience to handle responsibilities with minimum of supervision.

Must have the ability to manage multiple projects simultaneously while prioritizing responsibilities and meeting deadlines.

Must have good judgment, a high level of professional integrity and ability to maintain confidentiality.

Must have the ability to interact confidently with colleagues and adversaries, and to translate difficult legal principles into practical business solutions.

Must have excellent analytical, problem-solving, negotiation, drafting, organizational and communication skills.

Must have an energetic, decisive, hard-working, detail-oriented, hands-on personality with strong interpersonal skills and the ability to gain respect and influence others.

Must be a quick learner with a high degree of common sense and resourcefulness.

Must display exemplary attention to detail, time management skills, and the ability to prioritize while meeting deadlines.

Must exhibit strong written and oral communication skills.

Must have excellent communication skills, demonstrated ability to work collaboratively with colleagues, sound judgment, capacity to multitask and to quickly develop expertise in new fields of law.
