The Senior Director, Business & Legal Affairs is a resource for FOX executives and internal attorneys providing support and expertise to all of FOX’s divisions. The Senior Director is integrally involved in the business and legal aspects of FOX’s acquisitions, divestitures, investments, and other strategic transactions. The Senior Director, Business & Legal Affairs provides legal support for FOX Studio Lot operations, production facilities, and real estate teams on a variety of projects. The Senior Director provides advice and counsel, drafts, negotiates, and analyzes a wide variety of agreements supporting the foregoing, is responsible for transaction and project management from start to finish, and oversees the work of outside counsel engaged to support the foregoing.
A SNAPSHOT OF YOUR RESPONSIBILITIES
Lead and manage M&A and facilities operations transactions from inception to completion, including due diligence, negotiation, and execution of agreementsAdvise clients on legal and business issues related to mergers, acquisitions, joint ventures, and other strategic transactions, as well as real estate, construction, and other facilities operations mattersDraft, review, and negotiate a wide range of legal documents, including term sheets, purchase agreements, operating agreements, diligence requests, non-disclosure agreements, master services agreements and statements of work, and lease and license agreementsCollaborate with cross-functional teams, including finance, tax, privacy and information security, intellectual property, litigation, facilities management, global sourcing, real estate, and compliance, to ensure seamless transaction execution and optimal facilities operationsDraft and negotiate a variety of agreements supporting business operations, including for commercial goods and services, space use, facilities operations, maintenance, and improvementsProvide overall project management, for complex and often multi-jurisdictional transactionsOversee outside counsel retained to support transactions and operations.Build and maintain strong relationships with clients and other transaction and business operations stakeholdersWHAT YOU WILL NEED
Juris Doctor degree.5-8 years of transactional legal experienceStrong understanding of mergers and acquisitions, joint ventures, investments, and related agreements, with a proven track record of successfully managing complex M&A transactionsFamiliarity with a variety of commercial and real estate contracts, including strategic sourcing transactions, and technology-driven solutions (e.g., SaaS platforms)Working knowledge of intellectual property, privacy, and data security law.Strong analytical and problem-solving skills with attention to detailAbility to simultaneously manage multiple projects, often with shifting priorities and deadlinesExcellent negotiation, reasoning, and verbal and written communication skillsAdept at effectively working with individuals from a variety of fields, backgrounds, and levels, and collaborating with clients, peers and multiple subject matter experts.Advanced proficiency using WordNICE TO HAVE BUT NOT A DEALBREAKER
Active member of California bar. Will consider those eligible for Registered In-House Counsel status (Rule 9.46)Experience with DeltaView and iManage#LI-DNI

Pursuant to state and local pay disclosure requirements, the pay rate/range for this role, with final offer amount dependent on education, skills, experience, and location is $161,500.00-220,000.00 annually for high cost labour markets such as but not limited to New York City and Los Angeles, $134,500.00-183,300.00 annually for all other US locations. This role is also eligible for an annual discretionary bonus, various benefits, including medical/dental/vision, insurance, a 401(k) plan, paid time off, and other benefits in accordance with applicable plan documents.
