We are seeking an experienced Senior Legal Assistant to join the in-house Legal Services Team to support the Legal Affairs department of MetLife, Inc. The incumbent will primarily support attorneys and professionals in the Public Company Unit and the Global Employee Benefits Unit. The successful candidate will also support work in other areas of Legal Affairs and Legal Services Team initiatives. The Senior Legal Assistant will have experience working at a large law firm, corporation, or other organization and exhibit proficient knowledge and skills in matters relating to public company Security Exchange Commission disclosures and proxy statement reporting relating to executive compensation disclosure requirements. Sharp attention to detail, strong legal acumen, comfort with autonomy, strong learning and working agility are a must. The ability to demonstrate time and workload management through exceptional project management skills showcasing high level of initiative, confidentiality, good judgment, and collaboration are vital together with solid legal research and technology proficiencies.
Key Responsibilities:
* Assist with preparing and filing of SEC disclosures (i.e., Forms 3, 4, 5), periodic filings such as Forms 8-K, 10-Q, and 10-K and other public company disclosure filings and documents conforming to legal requirements.
* Assist with preparing Board of Directors/Executive compensation reporting requirements.
* Assist in preparing Security Ownership shares of Board of Directors/Executive Leadership with strong knowledge of SEC Section 16 and beneficial ownership filings.
* Collaborate with other proxy contributors with professionalism to coordinate data gathering and analysis.
* Utilize research skills to perform a "Rule Check" for Security and Exchange Commission "SCHEDULE 14A".
* Demonstrate software knowledge of Workiva (a/k/a WDesk).
* Maintain SharePoint site with Unit policies, procedures, records, schedules, and other information.
* Collect, draft, and analyze documents providing multifaceted information efficiently.
* Successfully coordinate, monitor, and manage progress on multiple deliverables with capability of anticipating issues and ability of knowing when to escalate issues to stakeholders.
* Provide robust assistance to attorneys and stakeholders participating in projects including team huddles, events and meetings as required with attorneys and Legal Services teams.
Essential Business Experience and Technical Skills:
Required:
* 5+ years of paralegal experience in corporate law firm or similar role.
* Advanced technical skills (Word, Excel, PowerPoint, iManage, SharePoint, Outlook, Litera Compare, Lexis Nexis, NAIC website, NILS, web-based applications, and legal systems, etc.).
* Experience working in Workiva (a/k/a WDesk) or other direct Security and Exchange Commission filing application, and maintaining Security and Exchange Commission EDGAR access codes, a plus.
* Perform proficient legal research with sound knowledge of legal concepts and ability to analyze facts.
* Excellent communication skills (verbal and written) with the ability to translate complex business and legal concepts into clear and compelling text.
* Flexibility and ability to shifting demands working under tight deadlines and multiple detailed tasks.
* Takes ownership of deliverables, is accountable, and owns professional development by actively seeking out feedback, learning new skills and new systems quickly and teaching others as necessary.
* Must demonstrate ability to maintain confidential information sensitively and discreetly.
* Exceptional critical thinking and organizational skills managing a high-volume workload successfully with increasing and changing demands demonstrating agility, EI (interpersonal skills), collaboration/partnership building, and strong attention to detail.
* Ability to work independently with integrity and ethical professional judgment knowing when to escalate issues.
* Passion for process analysis and continuous improvement.
* Continuously refine, develop, and expand skills in anticipation of changes in the work environment or profession.
Preferred:
* Bachelor’s degree and/or Paralegal degree or certificate.
* Notary public or willingness to obtain.
* Corporate governance experience a plus.
